Ticketmaster acquired Cape Town’s Quicket: Live Nation’s subsidiary list names five African companies the announcement did not

Ticketmaster announced on 24 July 2024 that it had acquired Quicket, the Cape Town self-service ticketing platform founded in 2011. No consideration was disclosed then and none has been disclosed since in any document checked for this record. Ticketmaster is the ticket marketplace of Live Nation Entertainment, Inc., a registrant with the United States Securities and Exchange Commission, and the transaction is confirmed in that company’s own annual filings.

What the announcement says

The release published on Live Nation Entertainment’s newsroom and on Ticketmaster’s business site on 24 July 2024 states that Ticketmaster is “acquiring Quicket”. It names no price, no currency, no percentage of share capital and no completion date. It states that Quicket “will continue to operate as a standalone business unit from Cape Town” under managing director James Tagg, and it names six markets: South Africa, Nigeria, Uganda, Kenya, Zambia and Botswana. It records that Ticketmaster launched in the South African market in 2022.

Mark Yovich, president of Ticketmaster, is quoted saying that “Africa is home to some of the most passionate fans in the world”. James Tagg is quoted saying that partnering with Ticketmaster “marks a landmark moment in connecting African artists to a global audience”.

The verb used is “acquired”. Neither release describes a licence, a distribution agreement, a joint venture or a minority investment.

What Live Nation’s filings name

Exhibit 21.1 to a Form 10-K is the registrant’s list of subsidiaries. Each exhibit below was fetched from the SEC archive and parsed directly for entities whose stated jurisdiction of incorporation is an African country.

• Exhibit filed 23 February 2023, for the year ended 31 December 2022: five African-jurisdiction entities, all South African.
• Exhibit filed 22 February 2024, for the year ended 31 December 2023: five, unchanged.
• Exhibit filed 21 February 2025, for the year ended 31 December 2024: ten.
• Exhibit filed 19 February 2026, for the year ended 31 December 2025: eleven.

The five entities added in the 2024 exhibit are:

• Quicket Limited, Kenya
• Munyhub Online Ticketing Services Ltd, Nigeria
• Munyhub Online Ticketing Services (Pty) Ltd, South Africa
• Munyhub Online Ticketing Services – SMC Limited, Uganda
• Munyhub Online Ticketing Services Limited, Zambia

The 2025 exhibit carries all five and adds Quicket Holdco 1 Limited, Kenya. No filing checked explains what that holding company is for.

Munyhub Online Ticketing Services (Pty) Ltd is the registered company behind the Quicket brand. The Google Play listing for the Quicket POS application names its publisher as MUNYHUB ONLINE TICKETING SERVICES (PTY) LTD.

Two limits on what the exhibit proves. It states legal name and jurisdiction of incorporation only, so it establishes that these companies are subsidiaries of Live Nation Entertainment, Inc. and nothing about the size of the holding. The disclosure rule also permits a registrant to omit subsidiaries which, considered in the aggregate, would not constitute a significant subsidiary, so the list is not necessarily complete.

The acquisition appears nowhere else in the filing

The body of Live Nation’s Form 10-K for the year ended 31 December 2024, filed 21 February 2025, was fetched and searched in full. The words “Quicket”, “Munyhub”, “South Africa” and “Big Concerts” each appear zero times in it. The transaction is disclosed only as five lines in the subsidiaries exhibit.

A full-text search of the SEC EDGAR system for “Munyhub” returns exactly two documents, both Live Nation subsidiaries exhibits. Anyone searching Live Nation’s filings for the word “Quicket” in relation to South Africa would not find this deal, because the South African, Nigerian, Ugandan and Zambian companies are filed under the Munyhub name.

The prior layer: Big Concerts, 2016

Live Nation announced on 22 February 2016 that it had acquired a controlling interest in Big Concerts International Proprietary Limited, described in the release as the leading concert promoter in South Africa, founded by Attie van Wyk in 1989. That release discloses no consideration and no percentage, and states that the two companies had worked together since mid-2009, when Big Concerts became the exclusive promotion partner for Live Nation tours in South Africa.

The subsidiaries exhibit filed 25 February 2016, for the year ended 31 December 2015, names no African-jurisdiction entity at all. The exhibit filed 23 February 2017, for 2016, names four South African entities: Big Concerts International Pty Ltd, Big Concession Management Proprietary Limited, Big Merchandise Proprietary Limited and TNL Technologies Proprietary Limited. TNL Technologies does not appear in any later exhibit checked, and no filing explains its absence.

Ticketmaster South Africa (Pty) Ltd first appears in the exhibit filed 1 March 2021, for the year ended 31 December 2020. It is absent from the exhibit filed 27 February 2020. That is at least one full reporting year before the 2022 market launch the 2024 release describes.

The seller side

Cape Town venture capital manager Knife Capital exited its position in the transaction. Its own exits page lists “Quicket, 2024, Acquired by Ticketmaster”. Keet van Zyl of Knife Capital is quoted in contemporaneous trade reporting: “In 2016, Quicket joined our Grindstone Accelerator programme, which engineers growth for start-ups. In 2017, Knife invested via its Section 12J VCC, KNF Ventures, to streamline Quicket’s service offering in the local market and focus on growth into key markets in the rest of Africa.” Quicket was founded in 2011 by James Tagg, James Hedley and Michael Kennedy.

What rights changed hands

None that are copyright. No document checked refers to the transfer of any master recording right, any publishing right, any share of a catalogue or any licence to exploit a sound recording. What changed hands is the equity of a ticketing technology business and its operating companies in five countries, together with the customer relationships, transaction flow and payment integrations that sit on that platform.

What could not be established

The price, the currency, the percentage of share capital acquired, whether the consideration was cash or included Live Nation stock, whether any earn-out applies, and the size of the stake Knife Capital held or the return it realised. Whether the transaction was notified to South Africa’s Competition Commission could not be established: no Commission decision, case number or press statement naming Ticketmaster, Live Nation, Quicket or Munyhub was located, and no trade report checked mentions a merger filing or conditions. South Africa’s Companies and Intellectual Property Commission publishes no open API, so the registration numbers, shareholders and directors of Munyhub Online Ticketing Services (Pty) Ltd have not been checked against the South African register. Botswana is named as a Quicket market in the acquisition release, but no Botswana entity appears in either the 2024 or the 2025 subsidiaries exhibit, and no document checked explains that gap.
