On 20 September 2022, Def Jam Recordings and NATIVE Records announced an exclusive worldwide joint venture, the first, NATIVE’s founders said, that Def Jam had struck with an African company. No financial terms were disclosed then, and none have been disclosed since. Two months later NATIVE named its first signed act under the venture: the Enugu-born rapper Odumodublvck. Three years on, his own catalogue tells a story the 2022 announcement does not fully explain. The phonogram credit on his October 2023 mixtape named him personally, ahead of NATIVE and Def Jam. The phonogram credit on his two most recent projects names a different company first: Kalacious Entertainment, an outfit with no public founder, no public founding date and no stated relationship to the joint venture that brought him into the Def Jam system in the first place.
What actually changed hands in 2022#
Def Jam Recordings, a division of UMG Recordings, Inc., and NATIVE Records, the music arm of the Lagos and UK media company NATIVE Networks, structured their 2022 agreement as a joint venture, not a licence, a distribution deal or an acquisition of an existing catalogue. Def Jam Chairman and CEO Tunji Balogun and NATIVE Networks co-presidents Seni “Chubbz” Saraki and Teni “Teezee” Zaccheaus announced it together. NATIVE Networks was founded in 2016 by Saraki, Zaccheaus, Shola Fagbemi, Addy Edgal and Suleiman Shittu, and by 2022 had already given early magazine covers to Burna Boy, Tems and Naira Marley among others.
The announcement is explicit about intent and silent about structure. Its stated purpose was to sign and develop talent across the African musical diaspora, using NATIVE’s ear for the Lagos scene alongside Def Jam’s international machinery. What it does not state is which party holds the masters for recordings signed under the venture, what equity split exists between Def Jam and NATIVE, or what term the joint venture runs for. Every rendering of the announcement checked for this record agrees on the date and the structure. None discloses a number.
NATIVE’s first act, and a second contract nobody has reconciled#
On 23 November 2022, NATIVE introduced Odumodublvck as the joint venture’s first signed act, releasing his single “Picanto.” A December 2022 report described a record deal “with NATIVE Records, in partnership with Def Jam,” which reads as a description of the same relationship rather than a new one. Then, in September 2023, press coverage around the release of his mixtape EZIOKWU described Def Jam Recordings signing Odumodublvck directly.
No document checked for this record explains how that September 2023 report relates to the joint venture Def Jam and NATIVE had already announced a year earlier. It may be a fresh characterisation of the same standing arrangement, dressed up as news around a mixtape release. It may describe a genuinely separate contract layered on top of the venture. Nothing found states which, and this record does not guess. What can be said is that no source, at any point across 2022 and 2023, ever states that the NATIVE joint venture ended, lapsed or was replaced. The two descriptions sit alongside each other, unreconciled, in the public record.
The credit that changed#
A phonogram credit, the line that opens with the circled P, records who is asserting the sound recording right as filed with a platform at a given moment. It is not a substitute for a contract, but on an active artist’s catalogue it is the closest thing to a running public filing that exists, and it is worth reading in order.
EZIOKWU, released 6 October 2023, carries the line: “2023 ODUMODUBLVCK/NATIVE Records/Def Jam Recordings, a division of UMG Recordings, Inc.”, checked directly against its Apple Music page. The artist’s own name sits first, ahead of both NATIVE and Def Jam. THE MACHINE IS COMING, released 31 March 2025, and INDUSTRY MACHINE, released 5 October 2025, both carry a different first name: “2025 Kalacious Entertainment/NATIVE Records/Def Jam Recordings, a division of UMG Recordings, Inc.”, checked directly against each release’s own Apple Music page in turn. NATIVE Records and Def Jam Recordings keep their positions, second and third, across all three releases. Only the party listed first has changed.
Kalacious Entertainment describes itself, on its own site, as “more than just a music label; it’s a movement,” and lists a six-artist roster: Cross, Shagba, Fatboy E, Agunna, Reeplay and Odumodublvck. It lists operating addresses in Abuja, Nigeria, in North York, Ontario and in Corpus Christi, Texas. No founder is named anywhere on that site, no founding date is given, and no document found by this record establishes an ownership structure. LinkedIn lists a person named Seyi Ajibogere in a management role for Odumodu Blvck at the company, which is a job title, not evidence of a stake. A separately incorporated entity called “Kalacious Entertainment Inc.” was registered in Ontario, Canada on 29 February 2024. Nothing found confirms whether that Ontario company is the same entity behind the Nigerian-facing label, a related one, or an unconnected company that happens to share the name.
What the credit change does not show matters as much as what it does. It does not show a sale of Odumodublvck’s masters, because no document states that either NATIVE or Def Jam ever held them outright to sell. It does not show Kalacious Entertainment buying into the 2022 joint venture, because no transaction of that kind has been announced by any party. The most defensible reading is narrower: the entity filing first in the credit chain changed from an individual name to a company name, and that company is otherwise undocumented.
What could not be established#
No source discloses the equity split between Def Jam and NATIVE inside their 2022 joint venture, any advance, any revenue share, or a term length for the arrangement. No source states who holds the copyright in Odumodublvck’s masters as a matter of law, as distinct from who is credited on the phonogram line. No document reconciles the September 2023 “Def Jam signing” reports with the standing 2022 joint venture. No filing, registry entry or statement establishes who owns, founded or controls Kalacious Entertainment, and Nigeria’s Corporate Affairs Commission offers no public filing search this record could use to check it directly. Whether Kalacious Entertainment operates as Odumodublvck’s own imprint, as a joint venture between him and another party, or as something else again, could not be resolved from any source checked.
What this means for artists#
A joint venture announcement and a phonogram credit answer different questions, and conflating them produces the wrong story in both directions. The 2022 announcement told the market that a major and an independent African company had agreed to work together on talent development. It did not, and was never going to, tell the market who ends up owning what a given artist records under that arrangement. For that, the only public evidence is the credit line an artist’s own releases carry, and that line can change without any announcement at all, as it has here.
The practical habit this suggests is straightforward. When an artist’s imprint or management company starts appearing first in the phonogram credit, ahead of the distributor or label partners that were there before, that is worth noticing and asking about directly, rather than assuming it confirms either a rights grab or a rights win. It can mean a genuine change in who controls the masters. It can also mean an administrative choice with no change in underlying ownership at all. Reading the credit tells you what was filed. It does not, by itself, tell you why.
Limits of this record. The 2022 joint venture is documented from the parties’ own announcement and a second trade rendering read directly, both dated 20 September 2022, plus the verbatim press release distributed to trade outlets on the same date. Neither party’s own newsroom page states the joint venture directly at the time of writing. A separate article, originally read on Music Week’s site, could not be re-verified before publication because its URL now redirects to an unrelated story, and has been excluded rather than cited from memory. The phonogram findings are documented from direct checks of three Apple Music release pages. Kalacious Entertainment’s description is documented from its own site and a LinkedIn listing; no Corporate Affairs Commission filing, no founder and no founding date could be confirmed for it. No source discloses any financial term of the 2022 joint venture, and no source states who legally owns Odumodublvck’s masters as distinct from who is credited on them.
