- Rights covered
- Publishing administration of musical compositions. The announcing party says it will "continue to administrate Orezi's catalog and future composition across the globe including his newest release Start to dance(Remix)", which covers both the existing body of works and compositions not yet written. The second version of the announcement renders the same grant as "Orezi's (real name, Esegine Allen) complete catalogue and future compositions". NO TRANSFER OF COPYRIGHT IS STATED OR EVIDENCED. Neither version uses the language of assignment, sale, part-sale, co-publishing or option. Both use "administrate" or "administer", which on the publishing side means the service of registering works, issuing licences, collecting income and accounting to the writer for a commission, with the writer retaining the copyright. MASTER RECORDINGS ARE OUTSIDE THIS DEAL AND ARE NOT MENTIONED IN IT. Platform credits establish that Orezi's recordings sit with his own imprint under exclusive licence to ONErpm, an arrangement unaffected by and unconnected to the publishing administration recorded here. TERM: five years, per the publisher's own release, "for an additional five years", running from the renewal. The second version states no term at all and the words five, 5-year and Five do not appear in it. EXCLUSIVITY: not stated in either version. ADMINISTRATION OF WHAT, EXACTLY: neither version names a single composition that is being administered, gives a work count, or supplies an ISWC, a work registration number or a writer share. The scope of "catalog" is therefore not established.
- Territory
- CONTRADICTED BY THE DOCUMENTS. This is a finding, not a gap. The publisher's own newsroom post says Downtown "will continue to administrate Orezi's catalog and future composition across the globe". A second account of the same press statement, filed under a Press Statement category and carrying material the publisher's own version does not, says Downtown "will continue to administer Orezi's (real name, Esegine Allen) complete catalogue and future compositions across Nigeria". The two readings are not reconcilable. Worldwide administration and single-territory administration are different deals with different economics: a Nigeria-only grant leaves every other territory either unadministered or with someone else, while a worldwide grant would have to accommodate any sub-publishing already in place. The publisher's own headline, "Orezi Extends Global Publishing Partnership with Downtown Music Publishing Africa", supports the worldwide reading. The URL slug of that same post reads "renews five-year deal with Nigerian hitmaker", which describes the writer's nationality and not the territory, so it settles nothing. No third document was located that resolves the conflict, and neither party has issued a correction to either version. Recorded here as worldwide on the primary source, with the Nigeria reading flagged, because the primary source is the publisher's own property and is the stronger document. WHICH LEGAL ENTITY TOOK THE GRANT IS ALSO UNSTATED. The primary release says "Downtown Music Publishing is proud to announce the renewal of its administration agreement", naming the global division; the only executive quoted is A&R Manager at Downtown Music Publishing Africa, the Johannesburg company; the second version calls the contracting business "Downtown Music Publishing, a division of Downtown Music Holdings". Three entity names, no stated signatory.

- Downtown Music Publishing Africa newsroom, dated 15 July 2025 and filed under Industry News, headlined "Orezi Extends Global Publishing Partnership with Downtown Music Publishing Africa". Datelined "Sandton, Johannesburg, 15 July 2025". States that "Downtown Music Publishing is proud to announce the renewal of its administration agreement with Nigerian singer, songwriter, and Afrobeats sensation Esegine Allen, professionally known as Orezi, for an additional five years", and that "Downtown will continue to administrate Orezi's catalog and future composition across the globe including his newest release Start to dance(Remix)". Carries one quotation, from Kefiloe Molefe, A&R Manager at Downtown Music Publishing Africa: "We're excited to extend our relationship with Orezi. His creativity, versatility, and commitment to excellence align perfectly with our mission to serve songwriters and composers at the highest level. We look forward to supporting his next chapter and the music yet to come." Names no other individual on either side and quotes Orezi nowhere. States no financial terms. The page footer reads "2026 Downtown Music Publishing Africa | a Virgin Music Group company", which is the chain-of-control line read from the publisher's own property rather than from a parent's release. Re-checked 25 October 2026, HTTP 200. · Second version of the same press statement, published 7 August 2025 and filed under Business, Entertainment, People and Press Statement. The document that produces the territorial contradiction: it says Downtown "will continue to administer Orezi's (real name, Esegine Allen) complete catalogue and future compositions across Nigeria". States no term. Identifies the contracting business as "Downtown Music Publishing, a division of Downtown Music Holdings". Carries a materially different quotation from the same named executive, Kefiloe Molefe: "Extending our partnership with Orezi was a no-brainer. His artistic vision, commercial appeal, and work ethic reflect exactly what we're about, supporting songwriters and creators with long-term value, not just quick wins." Also carries a quotation from Orezi himself that appears nowhere in the publisher's own version: "Downtown isn't just about paperwork, they've always been about people, purpose, and potential. Downtown has always understood where I'm going and supported how I want to get there." Re-checked 25 October 2026, HTTP 200. · Downtown Music Publishing Africa's own About page, which supplies the chain of control for the administrator: "As part of Downtown Music, Downtown Music Publishing Africa is now proudly part of Virgin Music Group". Its Our Evolution timeline dates the founding to 1996 as Sheer Publishing, the Downtown Music Holdings acquisition to 2020 and the rebrand to 2025. The page JSON-LD gives the alternateName "Sheer Publishing (Pty) Ltd", a Sandton address and Thando Makhunga as managing director. · Universal Music Group newsroom, datelined Los Angeles and Amsterdam, 20 February 2026, "VIRGIN MUSIC GROUP COMPLETES ACQUISITION OF DOWNTOWN". Lists the acquired portfolio as FUGA, Downtown Artist & Label Services, CD Baby, Downtown Music Publishing and Songtrust, and appoints Pieter van Rijn Chief Operating Officer of Virgin Music Group. Establishes the change of control seven months into the renewed term. The release does not mention Africa, the African subsidiary or Sheer Publishing anywhere in its body copy: the word Sheer appears zero times and the only two occurrences of Africa on the page are country names in a form dropdown. Same transaction as deal record 2063. · Apple Music catalogue lookup for Orezi, artist 355856842, returning 77 collections with their phonogram lines. Establishes the master-side position that the announcement is silent on: 31 collections name the artist's own imprint, and every one of his own releases since 2022 reads as the imprint with or under exclusive licence to ONErpm. Also establishes third-party master credits on the earlier catalogue, Culbeed Music in 2009 and 2015, Sprisal Entertainment from 2013 to 2015 and again in 2017, and Notjustok Distribution LLC in 2015 and 2016. Yields the nine spellings of the imprint name recorded on the company record. · Apple Music lookup for "Start to Dance (Remix)", the only release the announcement names. Collection 1817374363, released 13 June 2025, billed to "Orezi & Rema namakula", single track, phonogram line "2025 GhenGhen Music Empire, Under exclusive license to ONErpm". Confirms that the release cited as evidence of the publishing renewal carries no Downtown credit of any kind, which is normal, because a publishing administrator does not appear in a phonogram line. · Deezer API record for the same single, corroborating the label string exactly and giving UPC 730941620059. Second-platform confirmation of the master-side credit. · MusicBrainz artist record for Orezi, disambiguated as "Nigerian musician Esegine Allen", independently corroborating the legal name the announcement uses. Registry coverage is thin: two releases only. · MusicBrainz label record for GehnGehn Music, the only rights-registry entry located for the artist's imprint under any spelling, attached to a single release, "Sweet Sensation", dated 9 September 2019. · Report of 19 February 2018 announcing the imprint, the earliest public document for it, and already internally inconsistent: the headline reads "Ghen Ghen Music" and the body reads "Gehn Gehn Music". Quotes Orezi thanking "Sprisal Entertainment and Culbeed Music", the two companies that appear as phonogram owners on his earlier catalogue. · UK Companies House search, zero results. Checked because diaspora-facing artist imprints are frequently UK-registered. Searches for "gehn" and for "ghen ghen" returned only unrelated companies. · SEC EDGAR full-text search, zero hits for "Orezi". Checked because the administrator's ultimate parent is now Universal Music Group. No filing names the artist or the imprint. · The administrator's own news index, used to establish that it has published nothing further about this agreement. A site search for Orezi returns exactly one post, the 15 July 2025 renewal.
Read this before citing: THE TERRITORY IS THE STORY. Two versions of one press statement, three weeks apart, grant administration over the same catalogue in two different territories: "across the globe" in the publisher's own newsroom post, "across Nigeria" in the second version. The second version also drops the five-year term entirely and replaces the quoted executive's words with different ones. Both cannot be accurate descriptions of the same contract. This record follows the publisher's own property as the stronger document and records the territory as worldwide, with the conflict flagged, because the publisher is the party with access to the agreement. That is an editorial judgement about source weight, not a resolution of the contradiction. No correction has been issued to either version.
THE SAME NAMED EXECUTIVE IS QUOTED SAYING TWO DIFFERENT THINGS. Kefiloe Molefe, A&R Manager at Downtown Music Publishing Africa, is the only Downtown person quoted in either version, and the quotations do not overlap by a single clause. The second version additionally quotes Orezi, who is quoted nowhere in the publisher's own post. The most likely explanation is that two drafts of a press statement were circulated, but no document obtained says so, and which draft reflects the agreement is not established.
ANNOUNCED BY ONE SIDE ONLY. Everything here comes from the publisher. No statement from Orezi, from any representative of his, or from his imprint appears on any property controlled by the artist. The only words attributed to him sit in the version of the press statement that also says Nigeria. The imprint has no locatable website, newsroom or contact page.
NO FINANCIAL TERMS ANYWHERE. Neither version discloses an advance, an administration fee, a commission rate, a royalty split, a revenue share or a minimum guarantee. Recorded as not disclosed, not as nil.
THE ORIGINAL AGREEMENT DATE COULD NOT BE ESTABLISHED, SO THE WORD RENEWAL IS UNANCHORED. Both versions describe a renewal of an existing agreement, and neither says when that agreement began or how long it ran. The 18 May 2020 announcement of Downtown Music Holdings' acquisition of Sheer Publishing was read in full and contains zero occurrences of "Orezi"; the trade report of that acquisition lists no roster either. Nothing obtained dates the start of the relationship. Statements in either version about how long the parties have worked together therefore rest on the parties' own characterisation.
NO REGISTRY CONFIRMS THE PUBLISHER OF RECORD. Not one performing-rights or mechanical-licensing repertoire database was reachable from this server: ASCAP's ACE search returned HTTP 403 to both a direct request and a proxied fetch, BMI's repertoire search returned a 302 redirect loop, SACEM returned a 301 to a 404, PRS for Music returned 404, SOCAN returned no response at all, and the MLC's public search API returned no response. MusicBrainz holds no work-level publisher data for Orezi. So no independent record shows Downtown as administrator of any named Orezi composition in any territory. The administration claim rests entirely on the parties' own announcement, and this limitation applies to the territory question as much as to the existence of the agreement.
THE COUNTERPARTY IS A NATURAL PERSON AND IS NOT LINKED AS A PARTY. The agreement is with Esegine Allen personally, which is the normal shape of a songwriter administration deal. The directory holds companies, not people, so the artist cannot be linked as an afw_deal_party. His imprint, GhenGhen Music Empire, is deliberately NOT recorded as a party either: it is named in no version of the announcement and holds masters rather than compositions. It is linked from the accompanying article as a related company only.
WHAT CHANGED SEVEN MONTHS LATER IS STATED AS FACT, NOT AS MOTIVE. The administrator Orezi renewed with in July 2025 was a subsidiary of an independent, Downtown Music Holdings. On 20 February 2026 Universal Music Group's Virgin Music Group said it had completed its acquisition of that parent. Nothing obtained connects the renewal to the acquisition, no inference about either party's intent is drawn, and no document obtained says whether a change-of-control provision exists in Orezi's agreement. The link between the acquisition and the African subsidiary rests on the subsidiary's own About page and site footer, because the acquiring party's completion release does not mention Africa or the African company at all.
ONE DATE ON THE ADMINISTRATOR'S OWN SITE DOES NOT RECONCILE AND IS NOT RELIED ON. The administrator's news archive carries a post about the Sheer Publishing acquisition dated 25 January 2022, while the acquisition itself was announced on 18 May 2020. No claim in this record depends on either date.
On 15 July 2025 Downtown Music Publishing announced that it had renewed its administration agreement with the Nigerian singer and songwriter Esegine Allen, who records as Orezi, for a further five years. The announcing company said it would continue to administer his existing catalogue and his future compositions, naming the single “Start to Dance (Remix)” as the first release covered.
No copyright changed hands. Administration is a service, not a sale: the administrator registers the works, issues licences, collects the income and accounts to the writer, and takes a commission for doing it. The songwriter keeps the copyright.
Two versions of the same announcement give two different territories. The publisher’s own newsroom says the administration runs “across the globe”. A second version of the press statement says “across Nigeria”, states no term at all, and carries a materially different quotation from the same named executive.
Seven months into the renewed term, the administrator’s parent was acquired by Universal Music Group’s Virgin Music Group. Orezi’s master recordings were not part of any of this. They remain credited to his own imprint, under exclusive licence to ONErpm.
