Deal sheet

Status
Announced only. Announced on 23 September 2025 as a joint venture at a launch event in Nairobi. No completion, closing, incorporation or execution of any agreement has been evidenced to this desk. No entity bearing the announced name Strictly-Sub Sahara Entertainment was located on the United Kingdom register or on any register reachable from this desk, and no Kenyan register is publicly searchable. As at 8 October 2026, twelve months and fifteen days after the announcement, no output, release, compilation, competition result or distribution agreement attributable to the venture has been located in public sources. The record is therefore held at the announcement stage: a stated intention by two companies, one of which is verifiable against a public register and one of which is not.
Type
Joint Venture
Parties
Strictly Entertainment Music, Sub Sahara Entertainment
Rights covered
Joint venture label launch announced. No master recording rights, publishing rights, neighbouring rights or catalogue were stated to transfer, and nothing obtained evidences any transfer of copyright in any recording or composition. Neither party stated which company would own or which would administer masters or publishing in the venture's output, and nothing obtained indicates that the ten named artists' existing agreements with Sub Sahara Entertainment were varied, assigned or replaced. "Exclusive global distribution deals" were framed at the launch as a first-quarter 2026 objective rather than a concluded agreement: no distributor, aggregator or digital service provider is named in any source obtained, and no distribution agreement is evidenced. What is evidenced is an announced intention by two companies to operate a joint label, nothing more.
Territory
Kenya and East Africa on the Kenyan party's framing, and the United Kingdom and African diaspora markets on the UK party's framing, with stated showcase ambitions in Nairobi, London and other cities. No contractual territory is defined in any source obtained, and no document setting out territorial scope, exclusivity or carve-outs was located for either party.

This is the only party to the announced joint venture whose corporate existence this desk has been able to verify against a public register, and the register carries no entity under the announced joint venture name. · United Kingdom Companies House officer list for STRICTLY ENTERTAINMENT MUSIC LTD, company number 07622834. Fetched by this desk on 8 October 2026 (HTTP 200). Records four officers: ONUORA, Chiedozie, director, date of birth November 1980, appointed 5 May 2011, appointment active; ONUORAH, Lawrence Ike, date of birth March 1972, appointed 2 January 2023, appointment active, with an earlier directorship from 5 May 2011 to resignation on 14 June 2016; OLALEYE, Abdul Rahman, appointed 11 March 2024, appointment active; OLALEYE, Abdul Rahman Adekunle, resigned, secretary 2011 to 2018 and director 2012 to 2018. This is the primary source for the name discrepancy set out in the caveat: no officer is registered under the name "iKECHUKWU Onuorah", which is the name given for a co-founder in press coverage of the launch. · Music In Africa, "Kenya and UK music firms launch joint venture", published 25 September 2025. Fetched and read in full by this desk on 8 October 2026 (HTTP 200). Primary trade source for: the joint venture between Sub Sahara Entertainment and Strictly Entertainment Music; the new label name Strictly-Sub Sahara Entertainment; the launch on 23 September at The Village Creative, Nairobi; the ten named artists; Chiedozie Onuora, known as Eddo, as Strictly Entertainment co-founder; Suzanne Gachukia-Opembe as Sub Sahara founder and her statement that the initiative would "yield results in the next twelve months"; the Star Search and Camp Mulla 2.0 initiatives; and the early-2026 timeline for singles, collaborative releases and showcases in Nairobi and London. Fetched and read in full by this desk on 8 October 2026 (HTTP 200). Independent of the Music In Africa account and the second corroborating source for the entity name, the venue and the roster. Sole source among those obtained for: iKECHUKWU "Black PHARAOH" Onuorah as a Strictly Entertainment co-founder, a name that does not match the Companies House officer register; the named attendees Angela Ndambuki (IFPI), Chinasa Udeala (Universal), Steve Mwangi (Sony), Maurice Okoth (KAMP), a Mastercard Foundation representative and Lady Jaydee; the first-quarter 2026 flagship compilation, exclusive global distribution deals and curated showcases; and a talent search described as in collaboration with Nairobi County and The Carnivore. Quotes Chiedozie Onuora: "This partnership isn't just about music, it's about creating a movement that connects African creativity with global opportunities." Quotes the Kenyan founder, whose surname this account renders Gachukia-Opambe: "Our artists have stories, rhythms, and energy that the world is ready for." Carries no investment amount, equity split, masters or publishing ownership, or agreement term. · United Kingdom Companies House company search for "Strictly-Sub Sahara", run by this desk on 8 October 2026 (HTTP 200), returning no results. Negative evidence cited so a reader can repeat it: the announced joint venture name does not correspond to any company on the United Kingdom register. · United Kingdom Companies House company search for "Sub Sahara Entertainment", run by this desk on 8 October 2026 (HTTP 200), returning no results. Establishes only that the Kenyan party is not registered in the United Kingdom. It does not and cannot establish anything about its registration in Kenya, where no free public company search exists. · SYNDICATED DUPLICATE, cited for transparency and NOT counted as independent corroboration anywhere in this record. This article and a second one published by TNX Africa at https://www.tnx.africa/entertainment/article/2001530270/uk-kenya-unite-as-strictly-subsahara-entertainment-sets-new-stage-for-african-music carry the identical article identifier 2001530270 and the identical text. They are two copies of one underlying wire report. Listed here so that a reader counting sources on this transaction does not mistake four URLs for four independent accounts.

Read this before citing: WHAT IS VERIFIED, AND FROM WHAT. Two things are established, and they are narrower than the announcement. First, the UK party's corporate particulars, taken directly from the United Kingdom Companies House register on 8 October 2026 (HTTP 200): STRICTLY ENTERTAINMENT MUSIC LTD, company number 07622834, status Active, incorporated 5 May 2011, registered office 4 John Penn Street, London SE13 7QT, SIC code 58190, other publishing activities. Second, that a joint venture was publicly announced on 23 September 2025 at The Village Creative in Nairobi under the name Strictly-Sub Sahara Entertainment, which is reported by two separately authored and independently reachable trade accounts, both fetched and read in full by this desk on 8 October 2026. Those two accounts agree on the entity name, the event date and venue, the ten named artists, the named principals and the named attendees. Everything beyond those two findings is either undisclosed or unverified, as set out below.

AN ANNOUNCEMENT IS NOT A COMPLETED LEGAL JOINT VENTURE. This record documents a launch event, not a transaction this desk has seen evidenced. No incorporation of any vehicle named Strictly-Sub Sahara Entertainment, or any close variant, was located. A United Kingdom Companies House company search for "Strictly-Sub Sahara" returns no results, and a search for "Sub Sahara Entertainment" returns no results; both searches were run by this desk on 8 October 2026 and both URLs are cited below so a reader can repeat them. No joint venture agreement, shareholders' agreement, term sheet or filing of any kind was obtained from either party. The possibility that the venture operates as a contractual arrangement between the two existing companies rather than through a new incorporated vehicle is consistent with the evidence, but it is not stated by either party and this record does not assert it. Readers should treat "Strictly-Sub Sahara Entertainment" as a trading name used in an announcement, because that is the only thing the evidence supports.

A NAME DISCREPANCY THIS DESK COULD NOT RESOLVE. One of the two reachable trade reports names a second co-founder of the UK company as iKECHUKWU "Black PHARAOH" Onuorah. No officer is registered at Companies House under that name for company number 07622834. The officer list for that company records four people: ONUORA, Chiedozie, director, date of birth November 1980, appointed 5 May 2011, appointment active; ONUORAH, Lawrence Ike, date of birth March 1972, appointed 2 January 2023, appointment active, with an earlier directorship running from 5 May 2011 to resignation on 14 June 2016; OLALEYE, Abdul Rahman, appointed 11 March 2024, appointment active; and OLALEYE, Abdul Rahman Adekunle, resigned, who served as secretary from 2011 to 2018 and as director from 2012 to 2018. The closest match by surname and by the pattern of an appointment dating to incorporation is Lawrence Ike Onuorah. This desk states the mismatch and does NOT assert that the two names refer to the same person. A person may be a founder of a business without ever being a registered officer of it, a person may use a different name publicly from the one on the register, and a press description of someone as a co-founder is not a statement about directorship. No document was obtained that resolves this, and no inference about identity should be drawn from this record.

ONE OF THE TWO PARTIES IS NOT VERIFIABLE AGAINST ANY REGISTER. Sub Sahara Entertainment could not be resolved to a corporate register. Kenya's Business Registration Service, accessed through eCitizen, provides no free public company search, and no equivalent public source was located. This desk therefore has no registration number, no incorporation date, no registered address, no director list and no shareholder record for the Kenyan party. Its existence as a formal company, its ownership and its directors rest solely on the public statements of its founder, named in the two reachable reports as Suzanne Gachukia-Opembe. This is a gap in the record, not a suggestion of impropriety, and nothing here should be read as questioning that the company operates. It does mean that half of this announced joint venture has no primary-source corroboration, and any reader relying on this record should know that.

TWO OF THE FOUR AVAILABLE REPORTS ARE THE SAME REPORT. Four trade URLs covering this launch were identified. Two of them, published by separate outlets, carry the identical article identifier 2001530270 and the identical text. They are syndicated copies of one underlying wire report, not independent corroboration, and they are not counted as such anywhere in this record. One is cited below and explicitly labelled as a duplicate so that a reader can verify the point rather than take it on trust. The corroboration in this record therefore rests on two independent accounts, not four.

NAMES ARE RENDERED INCONSISTENTLY ACROSS THE REPORTS. The Kenyan founder's surname appears as Gachukia-Opembe in one account and Gachukia-Opambe in the other. The Mastercard Foundation representative's surname appears as Getua in one account and has also been rendered Getui. Her company is called Sub Sahara Entertainment in one account and Sub Sahara Music in the other. This desk has no primary source for the correct spelling of any personal name here and does not assert one. Where a name appears in this record, it is reproduced as the most commonly rendered form in the sources obtained, and the variants are flagged here rather than silently standardised.

ATTENDANCE IS NOT ENDORSEMENT, AND IS NOT A PARTY TO ANYTHING. Both reachable accounts name senior figures present at or witnessing the launch: Angela Ndambuki of IFPI, Chinasa Udeala of Universal Music, Steve Mwangi of Sony Music, Maurice Okoth of the Kenya Association of Music Producers, a Mastercard Foundation representative, and the Tanzanian artist Lady Jaydee. None of these people or organisations is recorded as a party to the joint venture, an investor in it, a distributor for it or a counterparty to it, and no source obtained suggests otherwise. They are recorded here because they were reported as present. Presence at a launch event creates no legal relationship and confers no commercial commitment, and this record makes no claim that any of them has any involvement beyond attendance.

WHAT COULD NOT BE ESTABLISHED, AND WHAT WAS CHECKED. (1) Consideration. No investment amount, advance, fee, royalty rate or cash sum appears in any source obtained, and both reachable accounts are silent on money. The amount and currency fields on this record are deliberately empty; "not disclosed" is the accurate answer and no figure is estimated. (2) Equity. No ownership split between the two companies is stated anywhere. (3) Term. No duration, renewal mechanism or termination provision is stated anywhere. (4) Rights allocation. Neither party stated who would own or administer master recordings or publishing in the venture's output, and nothing obtained indicates that the ten named artists' existing agreements with the Kenyan company were varied, assigned or replaced. (5) Distribution. The "exclusive global distribution deals" referred to at the launch were framed as a first-quarter 2026 objective, not a concluded agreement; no distributor, aggregator or digital service provider is named in any source obtained, and no distribution agreement is evidenced. (6) The identity of the second named co-founder, as set out above. (7) Every corporate particular of the Kenyan party, as set out above.

THE PROMISED OUTPUT, CHECKED AGAIN ON 8 OCTOBER 2026. The launch set out a specific near-term programme: high-profile single releases in the first quarter of 2026, cross-continent collaborations, live showcases in Nairobi and London, a flagship compilation drawing on both rosters, exclusive global distribution deals, a Star Search competition to find a female singer, a male singer and a rapper, a search for a "Camp Mulla 2.0", and a creative and digital media hub. The Kenyan founder said the initiative would "yield results in the next twelve months". Searches run fresh by this desk on 8 October 2026, twelve months and fifteen days after the launch, located no single, no compilation, no distribution agreement, no showcase, no Star Search result and no hub attributable to the joint venture. Every reachable result for the venture's name still resolves to the September 2025 launch coverage itself. This is a negative finding about what this desk could locate in public sources on a stated date. It is NOT a finding that no work has occurred: a venture can operate, sign, record and negotiate without generating indexed coverage, and absence of coverage is not absence of activity. Separately, Camp Mulla activity in 2026, including a reunion performance on 30 May 2026 and an event billed for 7 November 2026, appears from the coverage obtained to be the original group operating on its own account. No source obtained connects that activity to this joint venture or to its announced "Camp Mulla 2.0" search, and this record asserts no connection between them. This record will be updated if either party, a registry entry or a reachable filing discloses consideration, equity, term or rights allocation, or if output attributable to the venture is identified.

A joint venture label was announced. On the evidence obtained, nothing else has been shown to have changed hands.

On 23 September 2025, at an industry event at The Village Creative in Nairobi, the UK company Strictly Entertainment Music and the Kenyan label Sub Sahara Entertainment announced a joint venture to be called Strictly-Sub Sahara Entertainment. Ten artists already on the Kenyan company’s roster were named as the new venture’s launch roster: Zzero Sufuri, KusMa, Nuclear, Teejay Kere, Dan Rei, KushBoi, Sir Nganga, BwanaNgoma, Cewa and Kibby-a-Freak.

No consideration was disclosed. No equity split between the two companies was disclosed. No term or duration was disclosed. Neither party stated which company would own or administer the master recordings or the publishing in anything the venture released, and no source obtained evidences any transfer of copyright in any recording or composition. The “exclusive global distribution deals” referred to at the launch were described as an ambition for the first quarter of 2026, not as agreements already signed, and no distributor is named in any source obtained.

One of the two parties can be verified against a public register. Strictly Entertainment Music Ltd is registered in England and Wales as company number 07622834, active, incorporated 5 May 2011, registered office 4 John Penn Street, London SE13 7QT, SIC 58190, other publishing activities. The other cannot. Kenya’s Business Registration Service operates no free public company search, so Sub Sahara Entertainment’s registration, directors and ownership rest entirely on its founder’s own public statements and are not verified by this desk.

No entity named Strictly-Sub Sahara Entertainment appears on the United Kingdom register, and none was located on any register reachable from this desk. Fifteen months after the launch, no release, compilation, talent competition or distribution agreement attributable to the venture has been found. The Kenyan party’s founder said at the launch that the initiative would “yield results in the next twelve months”. That window has closed, and this record states what was found at the end of it rather than what was promised at the start.

Read the caveat below before citing this record. It sets out an unresolved discrepancy between a co-founder named in press materials and the names on the UK officer register, and the limits of what two reachable trade reports can establish.
