Flavour, Warner Music Africa and Africori: The Deal Record

Deal sheet

Status
Announced 27 November 2024 and reported by three trade outlets carrying the same underlying statement. Not confirmed by any newsroom page on either company's own site, and Africori's public roster page does not list Flavour. The exclusive licence credit to Africori / Warner Music Africa that appeared on Flavour's catalogue before the announcement is absent from every release checked from October 2025 onward. No party has announced a change.
Type
Distribution
Parties
2Nite Music Group, Africori, Warner Music Group
Amount
Not disclosed. No consideration, advance, distribution fee, revenue split or minimum guarantee was stated in any rendering of the announcement, and no equity is stated to have changed hands.
Rights covered
Distribution only, on the face of every document checked. Flavour's future releases were to be distributed through both Warner Music and Africori. No transfer or assignment of master recordings is stated. No transfer, assignment or administration of publishing copyrights is stated, and no publisher or administrator for Flavour as a songwriter could be established from any document checked. No equity stake in 2Nite Music Group, Flavour's own imprint, is stated. Phonogram credit lines name 2Nite Music Group as the rights holder throughout, with Africori and Warner Music Africa credited only as the party the recordings are "under exclusive license to," which is licensee language and not the language of ownership. The renderings of the announcement do not agree on the deal type: one describes a joint recording deal, another headlines a distribution deal, and neither is sourced to a contract.
Territory
Not disclosed. No contractual territory, term, exclusivity or renewal provision appears in any rendering of the announcement. Africori is based in Johannesburg, South Africa; Flavour is Nigerian. "Warner Music Africa" is a regional operating name for Warner Music Group rather than a separately verified corporate entity in this directory, and is recorded here against Warner Music Group.

Read this before citing: This is a distribution arrangement, not an acquisition, a catalogue licence or an investment. Nothing in any document checked transfers master recordings, transfers or assigns publishing copyrights, or moves equity, and no amount, term, territory or exclusivity is disclosed. Four points stand. First, the arrangement the announcement presents as new was already reflected in Flavour's catalogue credit lines: the formulation "2Nite Music Group, under exclusive license to Africori / Warner Music Africa" appears on releases dated 21 June 2024 and 19 July 2024, months before the announcement, and on catalogue reaching back to 2011. Second, the credit is absent from every release checked from 29 October 2025 onward, including a single, an album and a 2026 EP, corroborated independently by a second platform's label field, which reads "2Nite Music Group" with no Africori or Warner naming; no party has announced any change. Third, a February 2026 single carries an unrelated third credit, "Penthauze / MAD Solutions LLC," so the catalogue is not exclusively tied to Africori or Warner even after the announcement. Fourth, and importantly as a limit on the method, phonogram credit lines record the party asserting the sound recording right as currently filed with the platform, not necessarily the terms in force at original release. Parts of Flavour's back catalogue show 2025 re-delivery timestamps with inconsistent retention of the licensee line: a 2010 album shows a 2025 phonogram year with no licensee named, while a 2011 single shows a 2025 phonogram year with the Africori / Warner licensee line retained, and a 2005-dated entry carries an Africori credit although Africori was not founded until 2009. That last item is evidence of retroactive re-tagging in the metadata pipeline, not evidence of 2005 deal terms. The pre-announcement continuity finding is therefore strongest for the 2024 releases, where the dates are contemporaneous, and weakest for pre-2011 catalogue. No bad faith by any party is alleged or established. Separately, no announcement of this deal on the newsroom of either named company could be located, and Africori's own public roster page does not list Flavour.

On 27 November 2024, a joint deal between the Nigerian highlife artist Flavour (Chinedu Okoli), Warner Music Africa and the Johannesburg distributor Africori was announced. Trade coverage carrying the same underlying statement said Flavour’s future releases would be distributed through both companies, and quoted Flavour, Africori chief executive Yoel Kenan and Warner Music Africa managing director Temi Adeniji.

The stated scope is distribution. No transfer of master recordings is stated. No transfer or administration of publishing copyrights is stated. No equity in Flavour’s imprint is stated to change hands. No amount, term, territory, exclusivity or renewal provision is disclosed in any rendering of the announcement checked, and no announcement of the deal on either company’s own newsroom could be located.

The renderings do not agree on what kind of deal it was. One describes a joint recording deal; another headlines it as a distribution deal. Neither is sourced to a contract.

Catalogue credit lines complicate the framing of the arrangement as new. The phonogram formulation “2Nite Music Group, under exclusive license to Africori / Warner Music Africa” already appeared on Flavour’s own releases well before the announcement, including a single released 21 June 2024 and an acoustic collection released 19 July 2024, five and four months beforehand respectively. 2Nite Music Group is Flavour’s own imprint and is the named rights holder throughout; Africori and Warner Music Africa appear only as the party the recordings are licensed to.

The credit has since dropped away. Releases dated 29 October 2025, 28 November 2025 and 24 July 2026 name 2Nite Music Group alone, with no Africori or Warner credit, corroborated independently on a second platform’s label field. A February 2026 single carries a third, unrelated credit. No party has announced any change to the arrangement.
