Deal sheet

Status
Announced 6 April 2022 and not evidenced again since May 2022. In the MusicBrainz rights registry the label entity 'Blue Note Africa' (ad2e5c11-1210-4f49-a1a7-70de109f4203) is typed as an Imprint, has a life-span beginning 2022-04, and carries no label code, no country, no area, no IPI and no ISNI. Its total release count across all artists is one: the digital edition of In The Spirit Of Ntu, 27 May 2022, barcode 602445507160, with no catalogue number. Two sibling editions of the same album, the United States CD (602445505074, catalogue B003526602) and the worldwide digital edition (602445441914), are credited in the same registry to plain 'Blue Note', not to Blue Note Africa. Apple's album page for the record, read 11 October 2026, contains no occurrence of the string 'Blue Note Africa' and one phonographic line, naming Universal Music (Pty) Ltd South Africa. Across Makhathini's 34-album Apple catalogue the phonographic owner reads Universal Music (Pty) Ltd South Africa from Ikhambi (29 September 2017) through In The Spirit Of Ntu (27 May 2022), then changes: uNomkhubulwane (7 June 2024), The Myth We Choose (26 June 2026) and Abathathu (7 October 2026) each read 'Blue Note Records; (P) UMG Recordings, Inc.', moving the named owner of his new recordings from the South African company to the United States company. Both are Universal group companies, so this is a movement inside one group and not a change of ultimate parent.

Rights covered
No transfer of any right is evidenced by any source checked. The announcement creates an imprint, which is a label name applied to releases, and not a company, a catalogue purchase or a licence. It does not state who owns the recordings released under the name, who administers or owns the publishing, or who distributes. The rights position that the documents do establish sits elsewhere: the phonographic credit on the imprint's named first release, Nduduzo Makhathini's In The Spirit Of Ntu, reads '(P) 2022 Universal Music (Pty) Ltd South Africa' on Apple, and Deezer's label field for the same UPC returns 'Universal Music (Pty) Ltd.' Neither names Blue Note Africa. Publishing is not addressed by this record: no publisher, administrator or society registration for the compositions was located.
Territory
Stated loosely and not legally. The announcement's scope is 'Jazz artists from across the African continent' and it describes giving African jazz talent 'a home in the U.S.' No territorial grant, carve-out or term appears in any source checked. The one release object in MusicBrainz carrying the Blue Note Africa label credit (barcode 602445507160) lists a release-event territory set of roughly 160 countries that includes the United States as well as most African markets, so it is not an Africa-scoped product.

Blue Note Records' own newsroom announcement, 6 April 2022, headlined 'BLUE NOTE & UMG AFRICA ANNOUNCE NEW IMPRINT BLUE NOTE AFRICA'. It states that Blue Note Records and Universal Music Group Africa 'have announced the creation of Blue Note Africa, an exciting new imprint dedicated to signing Jazz artists from across the African continent', names Sipho Dlamini, CEO of Universal Music Africa, and Blue Note President Don Was, and names South African pianist Nduduzo Makhathini's album In The Spirit Of Ntu as the first release. It discloses no ownership, publishing, equity, term or financial terms. · MusicBrainz label entity for Blue Note Africa: typed Imprint, life-span begins 2022-04, no label code, no country, no area, no IPI, no ISNI. · MusicBrainz release browse for the Blue Note Africa label, returning release-count 1 across all artists. · The single release object carrying the Blue Note Africa label credit: In the Spirit of Ntu, digital, 27 May 2022, barcode 602445507160, no catalogue number, roughly 160 release-event territories including the United States. · Sibling edition: United States CD, barcode 602445505074, catalogue B003526602, credited to plain Blue Note. · Sibling edition: worldwide digital, barcode 602445441914, credited to plain Blue Note. · MusicBrainz label entity for plain Blue Note, for comparison: Imprint, label code 133, area New York, life-span begins 1939. · Apple album page for In The Spirit Of Ntu, read 11 October 2026: one phonographic line, '(P) 2022 Universal Music (Pty) Ltd South Africa', and no occurrence of the string 'Blue Note Africa'. · Apple's own catalogue metadata for Nduduzo Makhathini's artist ID, 34 albums, carrying the phonographic line for each release and showing the 2024 change from Universal Music (Pty) Ltd South Africa to UMG Recordings, Inc. · Deezer album endpoint for UPC 602445441914, returning label field 'Universal Music (Pty) Ltd.' · Trade report on the launch, using 'imprint' rather than joint venture, and stating that Universal Music Group Africa signed Makhathini in 2018. · Blue Note Records' own site, describing Blue Note Records China as 'the newly established jazz label under Universal Music Greater China', the same territorial-imprint template as Blue Note Africa.

Read this before citing: This record establishes what the announcement says and what the registries and store metadata print. It does not establish that Blue Note Africa holds, or has ever held, any right in any recording, and it makes no claim that it does not: an imprint can be a pure branding layer or it can sit above a contractual structure that is simply not published, and nothing fetched here distinguishes those cases. No amount, advance, royalty rate, equity split, term or territory was disclosed by Blue Note Records, Universal Music Group Africa, Universal Music (Pty) Ltd or Nduduzo Makhathini in any source checked, and 'not disclosed' is the honest answer on consideration. The absence of further Blue Note Africa releases is an absence in one community-maintained rights registry and on two store endpoints, not proof that the imprint released nothing: MusicBrainz label credits depend on a contributor linking a release to a label, so an unlinked release would not appear. Deezer's UPC endpoint returned no data for both the Blue Note Africa barcode (602445507160) and the United States CD barcode (602445505074), so those two release objects could not be checked on that platform at all. Two contradictions are recorded rather than smoothed over. First, this publication's own directory entry for Blue Note Africa described it as a joint venture; the parties' own announcement and the trade coverage checked both call it an imprint, and no document fetched shows a jointly owned legal entity, so the directory entry has been corrected. Second, trade coverage states that Universal Music Group Africa signed Makhathini in 2018, while Apple's phonographic line shows Universal Music (Pty) Ltd South Africa as owner of his recordings from 29 September 2017, roughly a year earlier; which date reflects the contract could not be established. Blue Note Records, Universal Music Group Africa, Universal Music (Pty) Ltd and Nduduzo Makhathini were not reached for comment. Everything above was read on 11 October 2026.
