THE INTERVAL THAT MAKES THIS A STORY. The company was dissolved on 6 February 2024. Universal Music Group announced a majority investment in Mavin Global on 26 February 2024, twenty days later. UMG SPV Holdings Limited was notified as a person with significant control of Mavin Global Holdings Limited, UK company 11517267, on 31 May 2024, one hundred and fifteen days after the dissolution. No document obtained connects the strike-off to the transaction, and the twenty-day gap is a fact about a calendar, not evidence of a causal link.
THE CREDIT OUTLIVED THE COMPANY BY 948 DAYS. Ten catalogue entries covering nine distinct Rema titles carry the Jonzing World Entertainment phonogram credit with release dates after 6 February 2024: BENIN BOYS with Shallipopi (20 June 2024), HEHEHE (7 July 2024), the album HEIS (10 July 2024, two entries), Baby (Is it a Crime) (7 February 2025), Bout U (10 April 2025), KELEBU (1 August 2025), FUN (5 September 2025), TEA (7 August 2026) and Oh No (11 September 2026). The most recent is 948 days after the UK company ceased to exist.
THE CREDIT ALSO PREDATES THE COMPANY. The same credit string appears on Ruger releases from 20 January 2021, ten months before UK company 13751901 was incorporated, in the form "Jonzing World Entertainment Limited under exclusive licence to Promised Land Recordings Limited". That run ended on 13 December 2023. Ruger's first release after the dissolution, on 1 March 2024, credits Blown Boy Ent., T.Y.E and EMPIRE, with no Jonzing credit. A credit that both predates incorporation and outlives dissolution cannot be assumed to refer to the UK entity at all.
JONZING WAS OUTSIDE THE UMG ACQUISITION PERIMETER. The merger notification published by Nigeria's Federal Competition and Consumer Protection Commission states, in the notifying parties' own words, that "In Nigeria, Mavin only owns and controls MG Entertainment Nigeria Limited (MGNL)". Universal's own announcement of 26 February 2024 names Rema as a Mavin artist and does not mention Jonzing World or D'Prince anywhere. On the documents, no Jonzing entity was acquired.

- NO RIGHTS CHANGED HANDS. A voluntary strike-off is not a transaction. It is an application by a company's own directors, on form DS01, asking the registrar to remove the company from the register. It transfers nothing, sells nothing and licenses nothing. What it does establish is a date after which a named legal person stopped existing in England and Wales, and that date is what this record fixes.
WHAT THE COMPANY WAS. JONZING WORLD ENTERTAINMENT LTD, company number 13751901, was incorporated in England and Wales on 18 November 2021 with a statement of capital of GBP 100 and model articles. Its registered office was 53 Tideslea Path, London SE28 0LY. Its single SIC code was 90010, performing arts. It filed one confirmation statement, made on 17 November 2022 with no updates, and one set of accounts, form AA, accounts for a dormant company, made up to 30 November 2022 and filed on 10 August 2023.
WHAT DORMANT MEANS HERE. A dormant company is one that has had no significant accounting transaction in the financial period. On the register, this company recorded none to 30 November 2022. It filed no further accounts before it was struck off, so its dormancy is evidenced to that date and no further. A dormant UK company is not the kind of vehicle that ordinarily holds master recordings or collects royalties, but the accounts establish an absence of transactions, not an absence of assets, and this record does not claim the latter.
WHAT THE PHONOGRAM LINE SAYS, AND WHAT IT DOES NOT. The name "Jonzing World Entertainment" appears in the phonogram credit on 44 of the 103 collection entries in Rema's Apple catalogue, alongside Mavin Global Holdings Ltd, most commonly in the form "Mavin Global Holdings Ltd / Jonzing World Entertainment, distributed by Interscope Records and UMG Commercial Services". A phonogram credit is an assertion of ownership in the sound recording. It is not a company number. Nothing in a copyright line identifies which of two or more same-named legal entities in different jurisdictions is meant, and no document obtained ties this credit string to UK company 13751901 rather than to a Nigerian company of the same name.

That a company named JONZING WORLD ENTERTAINMENT LTD, number 13751901, was incorporated in England and Wales on 18 November 2021 with GBP 100 of capital and SIC code 90010. That it filed dormant company accounts to 30 November 2022 and one confirmation statement with no updates. That it applied for voluntary strike-off on 14 November 2023 and was dissolved on 6 February 2024. That its sole director and sole person with significant control was Mr Charles Chukwudi Enebeli, date of birth October 1986, Nigerian nationality, resident in England, notified on the incorporation date, holding 75 per cent or more of shares and of voting rights and the right to appoint and remove directors. That his Companies House personal appointments page records this as his only UK appointment. That Rema's Apple catalogue carries the Jonzing World Entertainment phonogram credit on nine distinct titles released after the dissolution date.
NOT ESTABLISHED, AND WHAT WAS CHECKED. Whether UK company 13751901 is the same undertaking as the Jonzing World that D'Prince has publicly said he registered with Nigeria's Corporate Affairs Commission in 2018 could not be established. Nigeria's CAC company search returns HTTP 403 behind a Cloudflare challenge and has no public API, so a Nigerian entity of that name can be neither confirmed nor excluded, and no CAC document was obtained. Whether the UK company ever held any interest in any master recording could not be established; its only accounts are dormant accounts and no charge, no assignment and no capital event appears on its filing history.
THE DIRECTOR IDENTIFICATION IS AN INFERENCE, NOT A DOCUMENTED EQUIVALENCE. D'Prince's legal name is publicly reported as Charles Enebeli, with a birth date of 23 October 1986. The register records Mr Charles Chukwudi Enebeli, date of birth October 1986, Nigerian. The name and the month and year of birth match, and Companies House redacts the day. No document obtained states that the person on this register is the artist and Jonzing World founder. It is reported here as a name-and-date match, which is the strongest identification the public register permits, and not as a confirmed fact.
NO CONSIDERATION, AND NONE WITHHELD. A voluntary strike-off has no price. The amount field on this record is not a figure that exists and has been kept confidential. Universal Music Group has not disclosed the price of its Mavin Global investment either, and no figure for it appears in any document obtained.
SEARCH LIMITS. Companies House advanced search matches current company names only. A company that once traded under a Jonzing name and has since been renamed would not surface on the searches run for this record.
