Scienjoy Holding Corporation (NASDAQ: SJ), a mobile live streaming platform provider in China, announced on September 2, 2026, that it has agreed to acquire a 29.9% stake in Leader Education Limited (Hong Kong Stock Exchange: 1449.HK), a private higher education service provider in China, for HK$102.69 million (about US$13.1 million).
The purchase will be made through Scienjoy’s wholly-owned subsidiary Scienjoy Innovation Labs Inc., which will buy 239,234,000 ordinary shares from Shuren Education Limited, Leader Education’s controlling shareholder. The shares represent 29.9% of Leader Education’s issued and outstanding share capital.
Deal Terms and Conditions#
The closing is subject to mutually agreed conditions, including:
- Scienjoy being satisfied with the results of its due diligence of Leader Education and its subsidiaries;
- the absence of any material breach of warranties in the sale and purchase agreement by Shuren;
- all necessary waivers, consents, and notifications having been obtained;
- the continued listing of Leader Education’s ordinary shares on the Main Board of the Hong Kong Stock Exchange on or before the closing date; and
- no suspension in trading of Leader Education’s ordinary shares for more than ten consecutive business days.
The parties expect to close the transaction five business days after the last condition is satisfied or waived, or on another date agreed in writing. The transaction is considered a related party transaction because Scienjoy independent director Jun Lu is also an executive director of Leader Education.
