Kobalt Changed Hands in July. The UK Register Names Brookfield and Larry Mestel, Not Primary Wave.

Kobalt Music Group changed owner on 7 July 2026, in a sale the seller announced in March 2026 as a definitive agreement for Primary Wave Music to acquire it. The UK register of people with significant control names Brookfield Corporation and Larry Mestel, each on more than 25 and not more than 50 per cent of voting rights. Primary Wave Music does not appear. No price was disclosed by any party.

Read this before citing: No price was disclosed by any party to this transaction. A trade report published on the day of completion attributed a figure of around 1.5 billion dollars to people close to the deal, and a 2022 valuation near 750 million dollars for the Francisco Partners investment; neither figure appears in a document from a named party and this record therefore carries the amount as not disclosed. Primary Wave Music does not appear anywhere on the UK persons with significant control register for the Kobalt chain. That is a fact about the register and is not evidence for or against Primary Wave Music owning Kobalt: a PSC entry records a registrable condition, in this case ownership of voting rights, and not economic ownership. The structure, term, territory and contracting Kobalt entity of the November 2025 agreement with Inner Circle Publishing could not be established from any source. Kobalt's own website returns HTTP 403 to this server, so no statement from Kobalt could be read directly. The PSC02 form filed on 22 July 2026 is a scanned image with no text layer; the Companies House HTML register page is cited instead. The two trade accounts of the Inner Circle announcement differ on whether Serotonin is the artist or the producer of "Venus". Clarification, 24 August 2026: the summary field on this record previously asserted that Primary Wave Music completed its acquisition of Kobalt on 7 July 2026. That went further than the sources support. Kobalt Music Group changed owner on 7 July 2026. The announcement said the buyer was Primary Wave Music. The United Kingdom’s statutory register of people with significant control does not name Primary Wave Music anywhere in the Kobalt holding chain. It names Brookfield Corporation of Toronto and an American individual, Lawrence Scott Mestel, born April 1962, each recorded as holding voting rights of more than 25 per cent but not more than 50 per cent, both notified on the day the deal closed.

That matters on this beat because Kobalt is the global publishing partner of a Lagos company. In November 2025, Kobalt announced a deal with Inner Circle Publishing, co-founded earlier that year by Caleb Oyolola and Promise Dennis, whose signings include the producer Choke Boi and the act Serotonin. Eight months later, the counterparty on the other side of that Nigerian agreement was sold. Nigerian songwriters did not sign with Brookfield. They are now, at one remove, inside a structure Brookfield partly controls.

What the parties announced, and what they left out

The transaction was announced on 23 March 2026 by the seller, Francisco Partners, which had held a controlling interest in Kobalt since September 2022. The March release states a definitive agreement for Primary Wave Music to acquire Kobalt, and defines the perimeter precisely: “Kobalt’s worldwide operations, its catalog of owned copyrights, and amra”. It says Kobalt will operate as a standalone business under chief executive Laurent Hubert, that founder Willard Ahdritz would step down as chairman on close, that Goldman Sachs & Co. LLC acted as financial advisor, and that closing was expected in the third quarter of 2026 subject to customary conditions.

One sentence in that release is the thread worth pulling: “The transaction includes an investment from Brookfield, a strategic partner to Primary Wave.” That is the only public description of Brookfield’s role given by a named party. It does not say how much, at what valuation, or for what share of the voting rights.

No price appears anywhere in the seller’s announcement. A trade report published on the day of completion put the figure at around 1.5 billion dollars, attributing it to people close to the transaction rather than to either party, and separately reported that Francisco Partners had taken roughly 90 per cent in 2022 at a valuation near 750 million dollars. Neither number appears in a document from a named party, so this record carries the amount as not disclosed.

The register, read from the bottom up

UK company law requires every company to keep and file a register of people with significant control. Where a company is owned by another UK company that keeps its own register, the chain steps upward until it reaches something that is not a UK company. Following Kobalt’s chain gives five links, all of them filed documents rather than statements to the press:

  • Kobalt Music Publishing Limited (04089275) records Kobalt London Limited as its controller, on more than 75 per cent of shares and votes, notified 10 January 2018.
  • Kobalt London Limited (10945372) records Kobalt Music Group Ltd, on more than 75 per cent of shares, votes and the right to appoint or remove directors, notified 4 September 2017.
  • Kobalt Music Group Limited (04018752, incorporated 21 June 2000, registered at 5th Floor, Goldings House, 2 Hays Lane, London SE1 2HB) records Kobalt Music Group Bidco Limited, on more than 75 per cent, notified 28 December 2022.
  • Kobalt Music Group Bidco Limited (14307148) records Kobalt Music Group Intermediate Limited, on more than 75 per cent, notified 19 August 2022.
  • Kobalt Music Group Intermediate Limited (14351120) is the top of the UK chain. Its two active entries, both notified 7 July 2026, are Brookfield Corporation, registration 1644037 on the Ontario Business Registry, correspondence address PO Box 762, Suite 100, Brookfield Place, 181 Bay Street, Toronto, and Mr Lawrence Scott Mestel, American, born April 1962, resident in the United States.

Each of the two is recorded on one ground and one ground only: “Ownership of voting rights – More than 25% but not more than 50%”. Neither is recorded as holding shares. Neither is recorded as holding the right to appoint or remove a majority of the board.

Larry Mestel founded Primary Wave Music in 2006 and is its chief executive. He appears on the register as himself, an individual, at the Kobalt registered office address. The company he runs does not appear.

What significant control does and does not mean

This is where music reporting usually goes wrong, so it is worth being exact. A person with significant control entry is not a statement of ownership. It is a statement that a registrable condition is met: more than 25 per cent of shares, or more than 25 per cent of voting rights, or the right to appoint or remove a majority of directors, or significant influence or control. Brookfield and Mestel are each on the voting rights limb only, in the 25 to 50 per cent band.

Three things follow. First, the register is entirely consistent with Primary Wave Music holding economic ownership of Kobalt while the voting rights sit elsewhere in the structure, which is a common shape when an institutional investor funds a sponsor’s acquisition. Second, the absence of Primary Wave Music from the register is a fact about the register, not evidence that the company does not own Kobalt. Third, and this is the part that is not speculation, whoever votes the shares of Kobalt Music Group Intermediate Limited today includes Brookfield Corporation, on the company’s own filing.

The dates do not line up with the announcement

The filing history for Kobalt Music Group Intermediate Limited contains a sequence that a press release would not tell you.

The previous controller, Kobalt Music Group Topco LP, a Cayman Islands limited partnership registered 393446 at Maples Corporate Services, Ugland House, had been notified on 12 September 2022. It ceased on 21 January 2026. That is more than two months before the sale was announced publicly on 23 March. Between January and July the company stood on a statement that there was no registrable person, which was formally withdrawn on 22 July when the new entries were filed.

On 12 April 2026, Matthew Steven Spetzler, named in the 2022 announcement as a partner at Francisco Partners, was terminated as a director of Kobalt Music Group Limited, Bidco and Intermediate. On 1 July 2026, six days before completion, Intermediate passed a resolution reducing its share premium account, supported by a directors’ solvency statement, and filed a statement of capital of 0.000031 US dollars. That is balance sheet preparation for a change of control, done before the control changed.

The Lagos end of it

What Afrobeats Wire could not establish is the thing an African songwriter would most want to know: what Kobalt actually agreed with Inner Circle Publishing. Both companies described it as a partnership. Neither disclosed whether it is an administration agreement, a co-publishing deal, a sub-publishing appointment for named territories, a services arrangement, or an equity investment. No term was given. No territory was given. Which Kobalt entity signed it was not stated, which is not a trivial gap when the corporate chain above that entity has since been restructured.

The two trade accounts of the November announcement also differ on a detail: one describes Serotonin as an artist whose single “Venus” with Faceless passed 100 million streams, the other describes Serotonin as the producer of “Venus”. Both agree on the producer Choke Boi and on Fido’s “Joy Is Coming”. One account adds that Tyler Brown of Funfair Records & Publishing brokered the Kobalt agreement and remains involved.

What this means for artists

If you are a Nigerian writer signed to a company that has a global publishing partner, three practical points come out of this.

Your contract almost certainly permits assignment. Publishing agreements are routinely assignable to a successor in title, and a change of control at the parent usually does not even trigger a notice obligation. The person collecting your money can change without anyone telling you. Ask your lawyer to read the assignment and change of control clauses before you need them, not after.

Ask which legal entity you signed. “Kobalt” is at least four UK companies with different numbers, and a deal signed with the publishing subsidiary sits in a different place in the chain from a deal signed with the group. When ownership moves, the entity name on your contract is what determines who your counterparty is.

Finally, treat a partnership announcement as a headline, not a term sheet. The November announcement told the market that a Lagos publisher had a global partner. It did not tell any writer what share of their copyright anyone holds, for how long, or where. Those are the questions to put in writing, and the answers belong in your agreement, not in a quote.

Primary Wave Music does not appear on the UK persons with significant control register for the Kobalt chain, and this piece does not assert that it does or does not own Kobalt.
