Viral Wave

Based in
Dubai, United Arab Emirates

Viral Wave is a music and entertainment company specialising in content distribution across the Middle East and North Africa. Its registered name is ViralWave Content Consultancy DWC-LLC, a legal form used by companies licensed in the Dubai World Central free zone.

On 7 April 2026, following required regulatory approvals, PopArabia FZ-LLC acquired all of the issued and outstanding share capital of the company. PopArabia is the Abu Dhabi company through which the Nasdaq-listed Reservoir Media operates across the region, and in which Reservoir reported a 56.23 per cent interest as at 31 March 2026. Viral Wave is therefore wholly owned by PopArabia, and Reservoir’s economic interest in it runs through that majority stake rather than being direct or complete.

What the acquisition actually transferred is unusually well documented, because Reservoir set out the purchase price allocation in its quarterly report to the SEC for the quarter ended 30 June 2026. Of the 5,892,734 US dollars of total consideration, identifiable intangible assets accounted for 3,379,457 dollars. Within that, music distribution customer relationships were valued at 1,474,883 dollars and mobile carrier distribution agreements at 1,352,823 dollars. A recorded music catalogue was valued at 551,750 dollars, under a tenth of the total price.

The filing assigns the resulting goodwill to Reservoir’s Recorded Music segment, which places the business on the recordings side rather than the publishing side. The company also carried 1,530,120 dollars of royalty advances recoupable against future artist and writer royalties, recognised on acquisition.

On the documents available, Viral Wave is principally a distributor and a holder of carrier billing relationships rather than a catalogue owner. Its own recorded music holdings are small relative to the price paid for the business.
