Wizkid Stopped Controlling the Company Credited With His Masters on 8 August 2018. His Manager Has Held 75 Per Cent or More of the Shares Since, and the Company Has Been Dissolved Since 16 June 2026.

Deal sheet

Status
Resolved on the register, unresolved as to the copyright. Starboy Entertainment Limited, UK company 10075091, was dissolved by compulsory strike-off on 16 June 2026 and, read on 10 October 2026, remains Dissolved with no restoration recorded in its filing history. The persons-with-significant-control register for the company shows Ibrahim Ayodeji Balogun, the artist Wizkid, ceased to be a person with significant control on 8 August 2018, the same day he resigned as director, and shows his manager Jadine Jackie Pollock notified on that same date as holding shares of 75 per cent or more. She is the only person on the register and remains the only serving director. Nine years of phonogram credits on Wizkid releases name this company in connection with the master recordings. No party has published any statement about the dissolution, and what became of the recording copyrights on 16 June 2026 is not established by any source read for this record.
Type
Licensing
Parties
Starboy Entertainment Limited, Starboy Touring LLP, RCA Records, EMPIRE, Giran Republic
Amount
GBP Not disclosed. No consideration appears in any document read for this record. Companies House does not publish share-transfer consideration, the company's accounts were filed under the small companies regime with the profit and loss account omitted under section 444(1) of the Companies Act 2006, and no party has announced a price, an advance or a royalty rate at any point.

The one figure the register does carry is a balance sheet, not a deal value. Accounts made up to 31 March 2024, the company's last, show net liabilities of 106,384 pounds, tangible fixed assets of 1,008 pounds in a single class recorded as computer equipment, debtors of 212,792 pounds, cash of 209,104 pounds, creditors falling due within one year of 529,288 pounds, called-up share capital of 100 pounds and an average of one employee. There is no intangible assets line of any kind.

Rights covered
What the documents establish is a change in control of a company, not a transfer of copyrights. The persons-with-significant-control register records who controls the legal person. It says nothing about which copyrights that legal person holds, and no instrument of assignment has been published by anyone.

The recording side: from 2017 to 2022 the phonogram credit on Wizkid's major releases reads "Starboy Entertainment Ltd., under exclusive license to RCA Records", placing Starboy Entertainment Limited in the copyright-owner position and RCA Records as exclusive licensee. On releases from December 2023 onward the same credit is inverted to "RCA Records, under exclusive license from Starboy Entertainment Ltd.", placing RCA in the owner position. The January 2026 release REAL, Vol. 1 drops RCA entirely and reads "Starboy Entertainment Ltd. / GIRAN Republic / EMPIRE". No source consulted explains either change.

The publishing side: not established. No publisher, administrator or society registration for Wizkid's songwriting share was located for this record, and no publishing right is mentioned in any Companies House filing for either company.

No charge, mortgage or other security was ever registered against company 10075091, so no lender held security over whatever it owned.

Territory
The corporate facts are United Kingdom: both companies are on the register of England and Wales, at 1st Floor, 104 Oxford Street, London W1D 1LP. The artist is Nigerian and resident in Nigeria according to his own director filing.

The rights territory is not established. No licence, assignment or distribution agreement has been published by Starboy Entertainment Limited, RCA Records, Sony Music Entertainment, GIRAN Republic or EMPIRE, so neither the territorial scope nor the term of the RCA relationship, nor of the later EMPIRE relationship, can be stated. The phonogram credits were read in both the Nigerian and United States Apple storefronts and are identical in both, which shows the credit is delivered globally but does not establish the territory of any grant.

Read this before citing: WHAT IS ESTABLISHED, FROM THE REGISTER

1. Company 10075091, Starboy Entertainment Limited, was incorporated 21 March 2016 as a private company limited by shares, SIC 90030, artistic creation, at 1st Floor, 104 Oxford Street, London W1D 1LP.
2. It was dissolved by compulsory strike-off on 16 June 2026. The final Gazette notice, filing type GAZ2, is dated that day. Read 10 October 2026, status is Dissolved and the filing history records no restoration.
3. Ibrahim Ayodeji Balogun, date of birth July 1990, nationality Nigerian, country of residence Nigeria, was a director from 21 March 2016 and resigned on 8 August 2018.
4. The persons-with-significant-control register shows Balogun was notified as a PSC on 6 April 2016 with three natures of control, ownership of shares of 75 per cent or more, ownership of voting rights of 75 per cent or more, and the right to appoint or remove directors, and that he CEASED to be a PSC on 8 August 2018.
5. The same register shows Jadine Jackie Pollock, date of birth October 1983, nationality British, notified on 8 August 2018 with one nature of control, ownership of shares of 75 per cent or more. She is the only active PSC and the register carries no PSC statements.
6. Pollock was appointed a director on 8 August 2018 and is the only serving director recorded at dissolution.
7. The charges register reads zero charges registered, zero outstanding, zero satisfied, zero part satisfied, for the company's entire life.
8. Accounts made up to 31 March 2024 were filed on 10 July 2025, signed by Ms Jadine Pollock on 8 July 2025, prepared by MSE Business Management LLP at the same registered office, audit exempt under section 477 and filleted under section 444(1). They show net liabilities of 106,384 pounds, up from 21,056 pounds a year earlier, and no intangible assets tag.
9. The company was dissolved once before, on 27 December 2022, and restored on 2 June 2023. Restoration is therefore a route that has been used for this company. Nothing on the register shows it being used again.
10. A search of the register for "Starboy" returns 30 matches. Only two sit at 1st Floor, 104 Oxford Street, London W1D 1LP: the dissolved 10075091 and STARBOY TOURING LLP, OC431840, incorporated 22 May 2020, status Active, whose two designated members are Balogun and Pollock, both appointed on incorporation and both recorded as active.

WHAT IS ESTABLISHED, FROM THE PHONOGRAM CREDITS

Read directly from the Apple catalogue endpoint on 10 October 2026, in both the Nigerian and United States storefronts, for artist 309335750.

Credits naming Starboy Entertainment Limited in the owner position, "under exclusive license to RCA Records": Sounds From the Other Side (2017), Fever (2017), Master Groove (2017), Ghetto Love (2019), Joro (2019), Smile (2020), Made In Lagos (2020), Made In Lagos: Deluxe (2021), Bad To Me (2022), More Love Less Ego (2022), Apple Music Live: Wizkid (2022).

Credits with the assertion inverted, "RCA Records, under exclusive license from Starboy Entertainment Ltd.": S2 EP (22 December 2023), Piece of My Heart (18 October 2024), Kese (Dance) (15 November 2024), Morayo (22 November 2024).

The inversion therefore falls between 16 November 2022 and 22 December 2023. No source read for this record explains it.

REAL, Vol. 1 (23 January 2026) reads "Starboy Entertainment Ltd. / GIRAN Republic / EMPIRE" with no RCA. This is the last credit naming the company located anywhere, about five months before dissolution.

Every Wizkid release dated after 16 June 2026 that was located is a feature on another party's master, credited to that party: 777 Records BV and Top Notch Music BV, Sony Music Entertainment US Latin LLC with Head Concussion Records Inc., and FAMM. No post-dissolution release names Starboy Entertainment Limited.

WHAT IS NOT ESTABLISHED

1. What happened to the recording copyrights on 16 June 2026. Section 1012 of the Companies Act 2006 vests the property of a dissolved company in the Crown as bona vacantia, but that applies only to property the company still beneficially held at dissolution, and no document read here states what it held. The copyrights may have been assigned out before strike-off, may sit with a different entity entirely, or may be caught. This record does not assert which.
2. Whether restoration has been applied for. Nothing appears on the filing history as at 10 October 2026.
3. Why Balogun ceased to be a PSC on 8 August 2018. A cessation entry is consistent with a sale of shares, a gift, a dilutive allotment to another holder, or a group reorganisation. The register does not distinguish between them and no party has explained it. This record therefore does not characterise the event as a sale or an acquisition.
4. Whether Balogun retained any shareholding below the 25 per cent PSC threshold after 8 August 2018. The PSC register only records holdings above it.
5. Whether Pollock's 75 per cent or more is held beneficially or on trust for another person. The register does not say.
6. Whether the credit inversion in 2023 reflects any transfer of copyright, a correction, a re-delivery of metadata, or a new agreement. No party has commented.
7. Whether any publishing right, as distinct from the recordings, ever sat in either company.
8. What the partnership interests in STARBOY TOURING LLP are. Companies House publishes no PSC register for that LLP and the brief had no other route to them.
9. Whether STARBOY TOURING LLP holds any recorded-music right. Its name and the absence of any phonogram credit naming it point to live work, but this is an inference from a name and is recorded as not established.
10. The consideration for anything described in this record.

ON THE ABSENCE OF INTANGIBLE ASSETS, AND WHY IT PROVES LESS THAN IT LOOKS

The 31 March 2024 accounts carry no intangible assets. That is a real finding and it is reported. It is not evidence the company held no copyrights. Under FRS 102 Section 1A, which these accounts were prepared under, internally generated intangibles including self-generated sound recording copyrights are not ordinarily capitalised on the balance sheet. A company can own a valuable master catalogue and show nothing for it. What the absence does establish is that the company never recognised any purchased catalogue, and that whatever it held was not pledged, because no charge was ever registered.

CONTRADICTIONS WITH THIS SITE'S OWN EARLIER RECORDS

1. The Afrobeats Wire directory entry for Starboy Entertainment Limited describes it as Wizkid's own recording imprint and names Balogun under ownership. On the PSC register that is accurate only for the period 6 April 2016 to 8 August 2018. For the following eight years the only person with significant control on the register is his manager. The directory entry has been flagged for the Directory Desk rather than silently amended.
2. The earlier Afrobeats Wire deal record on Wizkid's masters states that Starboy Entertainment Limited is credited on his releases as the copyright owner, and then quotes the Morayo credit. The Morayo credit actually places RCA Records in the phonogram owner position. Both statements cannot stand together and the quoted credit is the one that holds.
3. An internal inconsistency in the credits themselves, not between sources. An exclusive licensee is not the owner of the phonogram. The post-2023 string "RCA Records, under exclusive license from Starboy Entertainment Ltd." puts RCA in the owner position in the same breath as describing it as a licensee, which cannot both be true as a matter of copyright. Something changed in how the credit was drafted. This record states only that the assertion changed, not that ownership moved.

SOURCES ATTEMPTED AND NOT USABLE

ASCAP's repertory search returned HTTP 403 to this server. The United States Copyright Office public records portal loads but is a JavaScript application with no reachable query endpoint, and five candidate API paths all returned the same application shell. cocatalog.loc.gov did not respond. BMI's repertoire search loaded but its query path redirected to a not-found page. No PRO or copyright-office registration was therefore read for this record, and no claim here rests on one.

Wizkid’s master recordings have been credited for nine years to Starboy Entertainment Limited, a UK private company, number 10075091. The UK persons-with-significant-control register shows that the artist himself, Ibrahim Ayodeji Balogun, ceased to be a person with significant control of that company on 8 August 2018, the same day he resigned as its director. His manager, Jadine Jackie Pollock, was notified on the same date as holding shares of 75 per cent or more, and remains the only person with significant control on the register.

Companies House dissolved the company by compulsory strike-off on 16 June 2026. Read on 10 October 2026, nearly four months later, its status is still Dissolved and its filing history carries no restoration. The company had been dissolved once before, on 27 December 2022, and restored on 2 June 2023, so restoration is a route that has been used here. Nothing on the register shows it being used again.

Two further findings from the register bear on what the company actually held. It registered no charges at any point in its life, so no lender ever took security over the catalogue. And its last accounts, made up to 31 March 2024, carry no intangible assets at all: the only fixed asset class is computer equipment, at a net book value of 1,008 pounds, against net liabilities of 106,384 pounds.

Separately, the phonogram credit on Wizkid’s releases changed its assertion about who owns the recordings between November 2022 and December 2023, moving RCA Records into the copyright-owner position while continuing to describe RCA as a licensee. No source consulted explains that change. The full evidence, and the limits of it, are set out below.
