Warner Said Africori Would Keep Operating as a Standalone Entity Under Its Founder. The UK Register Dates His Board Exit to 3 April 2026, 77 Days Before Warner Announced It, and Africori Limited’s Two Remaining Directors Are Both in Britain

Warner Music Group promised twice that Africori would keep running as its own company under its own founder. The UK register shows when that stopped being true, and it happened earlier and more completely than Warner said.

What changed hands is control of a distributor, not ownership of anyone’s songs. Africori is the Johannesburg-founded company that distributes and services more than 7,000 African artists and labels. Warner bought into it in early 2020, took majority control in December 2021, and completed a full acquisition announced on 11 February 2025. At that point the announcement said, in terms: “Africori will continue to operate as a standalone entity,” and “Yoel Kenan will remain as CEO, reporting to Temi Adeniji, managing director of Warner Music Africa.” Three years earlier, announcing the majority stake, Warner had used almost the same formula: “Africori will continue to operate as an independent company, with current CEO, Yoel Kenan, remaining in post.”

By July 2026 all three of those things had gone: the standalone status, the founder, and the reporting line into Warner’s Africa division.

What the register says, and when

Africori Limited is an English company, number 07860646, incorporated on 25 November 2011 and still active. Its registered office is Cannon Place, 78 Cannon Street, London EC4N 6AF, which is the same registered office as ADA Global Ltd, company number 05541956, the English company behind Warner’s independent distribution arm. Its sole active person with significant control is Warner Music Group Corp., a Delaware corporation registered as 3731133, notified on 20 December 2021, holding 75 per cent or more of shares, 75 per cent or more of voting rights, and the right to appoint or remove directors.

Warner used that last power. The officer record reads as a clean, dated handover:

Alfonso Javier Perez Soto, appointed 12 November 2024, resigned 29 August 2025.

Hameedat Temilade Adeniji, appointed 30 March 2020, resigned 31 October 2025. She is the executive named in the February 2025 announcement as the person Africori’s CEO would report to.

Simon Kenneth Geoffrey Robson, appointed 10 November 2025, ten days after Adeniji’s resignation. Still in post.

Alen Torosyan, appointed 18 November 2025. Still in post.

Joel Kenan, appointed 25 November 2011, the day the company was incorporated, resigned 3 April 2026. The register spells the founder’s first name Joel; he is publicly known as Yoel. The same register records him as the company’s person with significant control from 6 April 2016 until 20 December 2021, French, resident in South Africa, born September 1966.

Two dates matter most. Kenan left the board on 3 April 2026. Warner announced on 19 June 2026 that he had made a “recent decision to step down as CEO,” 77 days later. And the reporting line moved off Warner Music Africa on the register in late 2025, roughly seven months before Warner’s June 2026 announcement told the public that Africori’s new leader would report to Robson.

CEO became General Manager

On 19 June 2026 Warner named Adam Tiran to run Africori. His title is General Manager, not CEO. He is based in Johannesburg and reports to Simon Robson, President, EMEA, Recorded Music, Warner Music Group. Tiran was a founding member of the Africori team and had spent more than 13 years there, most recently as Director of Operations and International Lead. The announcement said Kenan “founded Africori and led the label for the last 14 years.”

The substitution of General Manager for CEO is not cosmetic. A chief executive sits at the top of a company. A general manager runs a business unit. The change of title, the change of reporting line from the Africa division to the EMEA recorded music structure, and the removal of both South Africa-resident directors from the board all point the same way.

As of today, the board of Africori Limited consists of two people, Robson and Torosyan, both British, one recorded as resident in England and one in the United Kingdom. Neither of the two directors resident in South Africa remains. The company that distributes more than 7,000 African artists is governed, at board level on the English register, entirely from Britain.

ADA x Africori is a brand, not yet an entity

On 8 July 2026 Warner announced that Africori and Qanawat Music “will become respectively known as ADA x Africori and ADA x Qanawat Music.” Howard Corner was appointed to a newly created role, Head of ADA, EMEA, effective immediately, while keeping his existing job as Managing Director of ADA UK, and reporting to Robson. Warner also said the technology of Revelator, a business-to-business distribution and rights platform it agreed to buy on 1 April 2026, would be “fully integrated” into ADA.

Read the verb carefully. “Will become known as” describes a trading name. It does not describe a merger, a transfer of assets, or the dissolution of a company. Nothing on the UK register supports a legal change: Africori Limited has no previous names, no change of name filing, and its most recent confirmation statement, dated 17 April 2026, was filed with no updates. Warner’s own most recent annual filing, the subsidiary schedule attached to its FY2025 Form 10-K on 20 November 2025, lists Africori Limited against the United Kingdom, Africori SA PTY LTD against South Africa, Qanawat Music Misr LLC against Egypt and Qanawat Music Morocco SARL against Morocco, all as separate legal entities alongside ADA Global Ltd.

That filing predates the rebrand, so it cannot reflect it. The first document capable of showing whether these entities survive as entities is Warner’s FY2026 Form 10-K, due in November 2026. Until then, ADA x Africori is a brand applied over an unchanged corporate structure.

The rebrand has not reached the company’s own front door either. Checked on 29 September 2026, 83 days after the announcement, africori.com still presents the company as Africori, with no ADA branding anywhere, and a footer reading “Copyright © Africori.”

Warner’s quarterly filing does not mention any of it

Warner restructured its distribution operations across Africa and the Middle East during the quarter ended 30 June 2026. Its Form 10-Q for that quarter, filed on 5 August 2026, does not contain the words Africa, Africori, Qanawat, Revelator or Middle East even once. ADA appears twice, both times in generic descriptions of the business and of an unrelated BMG distribution termination.

The filing does record one unnamed transaction: “the Company completed a strategic business acquisition whereby the Company issued 1,462,666 restricted common shares,” of which 298,116 shares were treated as acquisition consideration, adding $9 million to additional paid-in capital, with the remaining 1,164,550 shares to be recognised as post-combination compensation. Warner does not name the target. The timing is consistent with the Revelator purchase, which was announced on 1 April 2026 as expected to close in the following quarter, but the filing does not say so and this desk does not claim it. No financial terms were disclosed for Revelator, and none have been disclosed at any stage of the Africori acquisition: not in 2020, not in 2021, not in February 2025.

What this means for artists

If you are an Africori-distributed artist, your masters did not move. Warner owns the distributor. It does not own your recordings by virtue of owning the distributor. This desk has separately established, from phonogram credits, that Africori-distributed artists such as Kamo Mphela continue to own their masters through their own imprints while Africori handles distribution. A change of control at your distributor changes who decides your priorities, your marketing spend and your terms at renewal. It does not change title to your catalogue.

What it does change is who you are dealing with, and how far away they sit. For fourteen years, the person at the top of Africori was its founder, based in South Africa. Today the two names on the board of the English company are Warner EMEA executives in Britain, and the person running the business reports into Warner’s EMEA structure rather than its Africa division. Escalation now travels further, and it travels out of the continent.

Three practical points follow. First, if your agreement names Africori as a party, the counterparty company has not changed and the contract is unaffected by a brand change: check whether it names Africori Limited or the South African company, because they are different legal persons. Second, if your deal has a change-of-control clause, the relevant change happened on the register in 2021, not in 2025 or 2026. Third, brand consolidation into a global distribution arm usually precedes standardisation of terms, so the renewal conversation is where the practical effect will show up.

The pattern is the one worth remembering. When a major acquires a local distributor, “will continue to operate as a standalone entity” is a statement about intent at the date of announcement, not a commitment with a term. The register recorded the end of it before anyone announced it.
