This is a standing state of affairs rather than a transaction that closed. No acquisition, investment, sale or licence is recorded or asserted by this record.

CONTROL HAS NOT CHANGED HANDS. Spaceship Incorporated Limited filed a PSC04 on 7 January 2026 and a CH01 the same day, both described as a change of details for Damini Ogulu effective 6 January 2026. A PSC04 amends a PSC's particulars rather than ending an interest, and the live register still shows the same person at the same 75 per cent or more band. Spaceship Publishing Limited filed two PSC04s on 11 February 2026, one for each PSC, effective 1 January 2026, again changes of details rather than cessations. A cessation would appear as a PSC07 with an end date. No PSC07 and no end date appear anywhere in either company's history.

THE ONLY DIRECTOR-LEVEL MOVEMENT. On Spaceship Publishing Limited, Damini Ogulu resigned as a director on 3 April 2020, eleven days after the company's incorporation, while his PSC interest continued unchanged. That is a governance change, not an ownership change: he stopped sitting on the board of the publishing company but did not stop holding a stake in it. Azibaronami Oloigbe Ogulu has served as a director of that company since incorporation and holds no PSC interest of her own, so her presence on the board does not correspond to any recorded ownership stake.

SPACESHIP INCORPORATED LIMITED. One active PSC and zero active statements. Damini Ebunoluwa Ogulu, notified 28 September 2017, the day the company was incorporated: ownership of shares of 75 per cent or more, ownership of voting rights of 75 per cent or more, and the right to appoint or remove directors. Two directors are recorded, both appointed on incorporation and neither resigned: Ogulu himself and Bosede Ogulu. At 75 per cent of votes a shareholder can pass a special resolution unaided, covering altering the articles, changing the company's name and winding it up.

SPACESHIP PUBLISHING LIMITED. Two active PSCs, both notified 3 March 2020, each recorded at the same band: ownership of shares of more than 25 per cent but not more than 50 per cent, and ownership of voting rights of more than 25 per cent but not more than 50 per cent. Damini Ebunoluwa Ogulu and Bosede Ohiomenuan Ogulu. Neither is recorded with the right to appoint or remove directors, which is the one control right this filing does not give either of them individually; together their bands could sum to as much as 100 per cent or as little as just over 50 per cent, and the register does not state the precise split. Damini Ogulu was a director from incorporation until his resignation eleven days later on 3 April 2020, and kept his PSC interest throughout. WHY THIS BEARS ON THE CREDIT LINE. Spaceship Incorporated Limited is the entity this desk has already documented on Burna Boy's phonogram credits, in the formula "Spaceship Incorporated Limited, under exclusive license to Bad Habit and Atlantic Recording Corporation for the world excluding Africa." That construction describes a licence out, not an assignment: the named owner grants exploitation rights for a term and keeps title. This record establishes who controls the company on the owner side of that formula. It does not establish the terms of the licence, which have never been published.

NO EQUITY ROLE FOR ANY MAJOR. No major label or distributor appears in the ownership or governance record of any of the three companies. Atlantic Recording Corporation and Bad Habit, both named as licensees on the same credit lines, hold no share, no voting right and no board seat in the company that licenses to them.

The controlling individuals are recorded as Nigerian nationals. Bosede Ohiomenuan Ogulu is resident in Nigeria on every filing that names her. Damini Ebunoluwa Ogulu is recorded as resident in Nigeria on the Spaceship Incorporated Limited PSC page (notified 28 September 2017) and on the Spaceship Film Productions Ltd PSC page (notified 23 July 2024), but as resident in the United Kingdom on the Spaceship Publishing Limited PSC page (notified 3 March 2020). That Spaceship Incorporated Limited (company number 10985501, incorporated 28 September 2017), Spaceship Publishing Limited (company number 12494054, incorporated 3 March 2020) and Spaceship Film Productions Ltd (company number 15852671, incorporated 23 July 2024) are real, active companies registered in England and Wales, all three at 101 New Cavendish Street, London W1W 6XH. That Spaceship Incorporated Limited and Spaceship Film Productions Ltd each record one active PSC at the 75 per cent or more band, and that Spaceship Publishing Limited records two active PSCs at the 25 to 50 per cent band. That none of the three companies has ever recorded a corporate PSC, a charge or a mortgage. Each of these facts was read directly from the Companies House public register and verified on 17 September 2026.

IDENTITY: DAMINI EBUNOLUWA OGULU. Companies House publishes only the month and year of a PSC's birth, never the full date. All three filings give this person as Nigerian, born July 1991. The correspondence with the recording artist Burna Boy, publicly reported as Damini Ebunoluwa Ogulu, born 2 July 1991 in Port Harcourt, Nigeria, rests on an exact full-name match, a month and year of birth consistent with public reporting, and Nigerian nationality. This record treats that correspondence as strong and does not treat it as proof, because the register carries no fact capable of settling it beyond doubt.

IDENTITY: BOSEDE OGULU. The Spaceship Publishing Limited PSC, Bosede Ohiomenuan Ogulu, Nigerian, born November 1967, resident Nigeria, corresponds on name, month and year of birth and nationality to Bose Ogulu, publicly reported as born 19 November 1967, Burna Boy's mother and manager and the person trade press credits as founder of an umbrella called Spaceship Collective. The same caveat applies: strong correspondence, not proof.

IDENTITY: THE SECOND PUBLISHING DIRECTOR. Azibaronami Oloigbe Ogulu, Nigerian, born March 1993, resident Nigeria, director of Spaceship Publishing Limited since incorporation, corresponds on first-name root, exact birth month and year, and nationality to Ronami Ogulu, publicly reported as born 14 March 1993 and as Burna Boy's sister and co-manager, credited in trade press as an executive at the same Spaceship umbrella. This is the weakest of the three identifications in this record, resting on a nickname match rather than an exact legal-name match, and is offered as context rather than as an established fact.

"SPACESHIP COLLECTIVE" IS NOT A UK LEGAL ENTITY. Trade profiles describe Spaceship Collective as a holding company or umbrella sitting above Spaceship Records and Spaceship Publishing. A Companies House search performed on 17 September 2026 for the exact phrase "Spaceship Collective" returns zero results. A separate search for "Spaceship Records" also returns zero results. Neither is a UK-registered legal entity, current or dissolved, under that name or as a previous name. On this evidence, "Spaceship Collective" is a trading or brand name rather than the incorporated parent that trade coverage implies, and the three operating companies documented in this record are independently registered, not subsidiaries of any single UK holding company.

LOOKALIKES RULED OUT. A full-text company search for "Spaceship" returns two other UK companies with no connection to this family: Spaceship Group Limited, number 10757656, incorporated 8 May 2017, registered in Cambridge, SIC code 68209, other letting and operating of own or leased real estate; and Spaceship Investment Limited, number 12490913, incorporated 2 March 2020, registered in Romford, SIC code 68100, buying and selling of own real estate. Both are property businesses with no PSC named Ogulu and no address connection to 101 New Cavendish Street. Neither should be confused with the companies in this record.

REGISTRY CAVEAT. Companies House does not verify the accuracy of information filed with it. Every PSC and officer entry is a statement made by the company about itself. The identity verification regime now appearing on these filings, including the 5 February 2026 verifications on Spaceship Publishing Limited, confirms that a named individual is who they say they are; it does not confirm their shareholding or the accuracy of any other filed detail.

Burna Boy’s masters and his publishing sit inside two separate UK companies, and the UK register shows exactly who controls each. Spaceship Incorporated Limited, the entity named on his phonogram credits since at least 2018, has one active person with significant control: Damini Ebunoluwa Ogulu, Burna Boy himself, notified 28 September 2017, holding 75 per cent or more of the shares, 75 per cent or more of the voting rights, and the right to appoint or remove directors. There is no corporate parent and no major label anywhere in that record.

Spaceship Publishing Limited, incorporated 3 March 2020 at the same registered office, is controlled differently. Two people are recorded, each holding more than 25 per cent but not more than 50 per cent of the shares and votes: Damini Ebunoluwa Ogulu and Bosede Ohiomenuan Ogulu, his mother and long-time manager. Both had their identities verified by an authorised corporate service provider on 5 February 2026. Damini was briefly a director of this company, appointed on incorporation and resigned eleven days later on 3 April 2020, while keeping his shareholding throughout.

A third company sits at the same address and follows the same pattern. Spaceship Film Productions Ltd, incorporated 23 July 2024, has one active PSC: Damini Ebunoluwa Ogulu again, at the same 75 per cent or more threshold, notified the day the company was formed. Its second director, appointed the same day, carries the Ogulu surname. Three separately registered companies, three PSC filings naming a member of the same family, none naming anyone outside it.

Trade coverage describes an umbrella called Spaceship Collective sitting above these operating companies. A Companies House search for that exact name, and for “Spaceship Records”, returns zero results. Neither is a UK-registered legal entity. Two other companies with “Spaceship” in the name, Spaceship Group Limited and Spaceship Investment Limited, are unrelated real-estate businesses registered to addresses in Cambridge and Romford with no link to Ogulu or to music.

No major label or distributor holds a share, a vote or a board seat in any of the three companies. Atlantic Recording Corporation, named on the same credit lines as exclusive licensee for the world excluding Africa, appears nowhere in the ownership or governance record of the company it licenses from. That is why this record lists Spaceship Entertainment as the only party: a licensee with no equity interest is not a party to a control record, and naming one here would imply a stake the register does not show.
