The counterparty has been renamed once and has changed ultimate owner once since signing. Sheer Publishing Africa rebranded as Downtown Music Publishing Africa in a post dated 7 July 2025 on its own site, which is a change of name and not of ownership. Virgin Music Group then completed its acquisition of Downtown Music Holdings on 20 February 2026, placing the publisher inside Universal Music Group. Sheer's earlier acquisition by Downtown in May 2020 predates the Iyanya agreement and is therefore not a change during its life.
A search of the publisher's own current website for "Iyanya" returns exactly one result, an industry news post dated 6 July 2015 about the Zimbabwean producer Tatenda Kamera. There is no signing announcement and no roster entry naming Iyanya anywhere on the site of the company that signed him. That absence is not a denial and is not reported as one. It does mean this desk cannot say from the counterparty's own publishing whether the 2021 agreement is still in force.

The announcement says Sheer Music Publishing "signed an agreement to represent popular Nigerian artist Iyanya". Iyanya's own quoted words in the same document describe what he expected the publisher to do: help him "harness my creativity and administer the collection of my royalties effectively". Both formulations describe representation and administration of rights in musical works.
Neither says Sheer acquired, bought or took ownership of any copyright. Neither gives a royalty split, an advance, or a defined list of works. Whether the agreement is pure administration, co-publishing, or an assignment of a copyright share is not stated in the document and could not be established from any other source read for this record.
Nothing in the announcement touches the sound recordings. On the recordings, Apple's phonogram credit lines for artist 360504820 name Made Men Music Group and Ziiki Media, not any company in the publishing chain.

That on 22 March 2021 an agreement was announced under which Sheer Music Publishing would represent Iyanya and administer collection of his royalties. That Sheer was at that date a wholly owned subsidiary of Downtown Music Holdings, per the announcement's own boilerplate, and had been acquired by Downtown in May 2020, per the announcement read together with the publisher's own founding timeline. That the publisher rebranded as Downtown Music Publishing Africa in 2025 and now describes itself in its site footer as part of Virgin Music Group. That Virgin Music Group announced the Downtown acquisition on 16 December 2024 at 775 million dollars cash and announced completion on 20 February 2026. That the European Commission approved the transaction on 13 February 2026 conditional on the full divestment of Curve Royalty Systems, Ltd.
A CONTRADICTION IN THE RECORD, REPORTED AS A FINDING.
Virgin Music Group's December 2024 announcement lists the Downtown portfolio as "FUGA, Downtown Artist & Label Services, Curve Royalties, CD Baby, Downtown Music Publishing and Songtrust", and lists Downtown's core divisions as "Artist & Label Services, Distribution, Royalties & Financial Services, and Music Publishing". Virgin Music Group's February 2026 completion announcement lists the portfolio as "FUGA, Downtown Artist & Label Services, CD Baby, Downtown Music Publishing and Songtrust" and the divisions as "Artist & Label Services, Distribution, and Music Publishing". Curve Royalties and the entire Royalties & Financial Services division are absent from the second list. Neither release explains the change. The Commission's decision of 13 February 2026 does: it required the full divestment of Curve, including all of Curve's customers and their data, its supply contracts, all of its personnel, and the platform's source code, data and algorithms.
A SECOND CONTRADICTION. The African arm's rebrand post, dated 7 July 2025, told African creators that "through this rebrand, creators now have access to advanced systems like Curve for real-time royalty transparency". The Commission ordered Curve divested seven months later. Whether African clients of Downtown Music Publishing Africa were ever onboarded to Curve, and what happens to them on divestment, is not addressed in any document read for this record.
NOT DISCLOSED: THE CONSIDERATION FOR THE IYANYA AGREEMENT.
No advance, no royalty split, no term and no minimum are stated anywhere in the announcement. The 775 million dollar figure in this record belongs to the Downtown acquisition, not to the Iyanya agreement, and must not be read across.
NOT ESTABLISHED, AND WHAT WAS CHECKED.
The publisher of record for Iyanya's compositions in any collecting society or mechanical licensing registry. Every registry route was attempted and every one failed or blocked: the ASCAP ACE endpoint returned 403, the Mechanical Licensing Collective's two API hosts returned no response at all, BMI's repertoire endpoint returned a bot-defence page rather than data, the United States Copyright Office public records application returned an HTML shell with no records, CISAC's ISWCNET returned HTTP 500, and downtownmusic.com returned 403. No registry evidence was obtained, so no publisher-of-record claim is made.
The songwriters on Iyanya's works. Apple's API returns an empty composer field on every track sampled, including the Applaudise, Desire and The Forester's Son releases.
Whether any Iyanya work was affected by any Downtown copyright disposal. Trade reports of such a disposal were found but could not be opened and read, so no figure and no transaction is asserted here.
Whether Downtown Music Publishing Africa is itself an incorporated entity separate from Sheer Publishing Africa, and under what registered name. South African company records were not searched. Companies House UK was not searched: this desk holds no API key for it.
AN ABSENCE IS NOT A DENIAL. Neither Virgin Music Group announcement names Sheer, Downtown Music Publishing Africa, or any African business. That tells us nothing about whether African contracts transferred. It tells us only that the acquirer did not describe them.
On 22 March 2021, from Johannesburg, Sheer Music Publishing announced that it had signed an agreement to represent the Nigerian singer Iyanya. The announcement describes representation and royalty collection. It does not describe a purchase, and it does not mention sound recordings.
Sheer was not independent when it signed him. The same announcement states that Sheer Publishing Africa “was acquired by Downtown Music Holdings in May”, in a sentence about the company’s 2020, and its boilerplate states plainly that “Sheer is a wholly owned subsidiary of Downtown Music Holdings”. The publisher’s own current website carries a timeline giving 1996 for its founding as Sheer Publishing, 2020 for joining Downtown, and 2025 for the rebrand to Downtown Music Publishing Africa.
Two corporate layers have since been added above that agreement. Virgin Music Group announced on 16 December 2024 that it had signed a definitive agreement to acquire Downtown Music Holdings LLC for cash consideration of 775 million dollars, approximately 737 million euros. It announced completion on 20 February 2026. Virgin Music Group is part of Universal Music Group.
The European Commission cleared that acquisition on 13 February 2026 under case M.11956, but only on condition that Downtown fully divest Curve Royalty Systems, Ltd, its royalty accounting platform. Seven months before Brussels published that condition, the African arm of the same group had been marketing Curve to African creators as the headline benefit of its rebrand.
Across 128 Iyanya collections on Apple’s Nigerian and United States storefronts, the phonogram credit never names Sheer, Downtown or any company in that chain. The recurring names are Made Men Music Group and Ziiki Media, and before them Mavin, Temple and Violet 360.
