Blue Label Telecoms Sold Content Connect Africa to Management for R2 Million in September 2012, After Writing R25 Million Off the Shares.

A JSE-listed telecoms group sold 100% of the Johannesburg aggregator Content Connect Africa to management for R2 million in September 2012, having written R25 million off the R27 million cost of the shares.

The audited disposal note records the transfer of the entire shareholding in Content Connect Africa Proprietary Limited; it does not schedule any copyright, master recording, publishing agreement or artist contract, and none was assigned or novated by the transaction. The note itemises the net assets that travelled with the company, which included intangible assets of R2,970,000, receivables of R6,503,000, borrowings of R3,130,000 and payables of R7,620,000, producing a carrying value of the subsidiary excluding goodwill of negative R719,000. Whatever rights Content Connect Africa held, it continued to hold; only its shareholder changed. Content Connect Africa's own published description of its business is a services description: delivering content to digital platforms, mobile operators and third-party clients, sync clearance, marketing and publishing services. No document reached by this desk asserts that Content Connect Africa owns master recordings of the artists it distributes.

Read this before citing: The same annual report gives two different dates for this disposal. Note 27 to the group annual financial statements, which is audited, gives the date disposed as 1 September 2012 in the table header and repeats it in the narrative: "On 1 September 2012, Blue Label Telecoms Limited sold its 100% shareholding in Content Connect Africa Proprietary Limited to management for an amount of R2 million." The directors' report in the same volume gives 11 September 2012. The auditor's report states expressly that it read the directors' report but did not audit it and expresses no opinion on it, so this desk records the audited date of 1 September 2012 as the announced date and flags the ten-day discrepancy rather than resolving it. The segment commentary says only "September 2012".

The same report also describes the buyer in two ways. The audited note says the shareholding was sold "to management". The directors' report names Metastar Trading Proprietary Limited. Those are compatible if Metastar Trading was the management acquisition vehicle, but the filing does not say so, and it names no natural person. Published industry biography states that Antos Stella became the majority shareholder of Content Connect Africa in 2012. No document reached by this desk connects Antos Stella to Metastar Trading Proprietary Limited, and this record makes no such connection. South Africa's Companies and Intellectual Property Commission publishes no open company-search interface available to this desk, and open-web searches for "Metastar Trading" returned only unrelated companies registered in Hong Kong, India and Cyprus.

Who holds the remaining 55% of Content Connect Africa today could not be established.

The price of Gallo Music Investments' 45% purchase, announced on 6 September 2021, was not disclosed in the announcement issued at the time or in any of the trade accounts checked, and this desk did not establish it.

Trade reporting published in February 2026 states that Gallo and Content Connect Africa "were acquired by The Music Arena in 2020", and separately that both are "owned by Arena Holdings", while in the same piece dating the Content Connect Africa stake to 2021 and putting it at 45%. Those statements are not reconcilable as written: a 45% holding is a minority, and the only equity transaction in Content Connect Africa in the public record after 2012 is the 45% purchase announced in September 2021, not an acquisition in 2020. This desk searched for a subsequent increase to a majority and found no document recording one. Absent such a document, Content Connect Africa is not established as a subsidiary of Arena Holdings or of The Music Arena.

The R2,000,000 is the stated consideration in rand in 2012. No source reached converts it to any other currency, and none is asserted here.

A rights registry check found Content Connect Africa credited as the label on seven releases dated between 2018 and 2025. A label credit on a release is evidence of the release channel, not of master ownership, and no master-ownership claim is made from it here.

Blue Label Telecoms Limited's historic domain now redirects to a site presenting the business as "Blu Label". No filing confirming a formal change of registered name was obtained, so the seller is named here exactly as it appears on the face of the 2013 audit opinion.

Blue Label Telecoms Limited, a JSE-listed distributor of prepaid airtime and electronic value, disposed of 100% of the issued share capital of Content Connect Africa Proprietary Limited for a cash consideration of R2,000,000. Content Connect Africa is the Johannesburg content aggregator that today distributes African music and entertainment content to mobile operators and digital platforms, and that is a named counterparty to Virgin Music Group’s global distribution agreement alongside Gallo Record Company.

The audited note to the group annual financial statements records the sale as being “to management”. The unaudited directors’ report in the same volume names the acquiring company as Metastar Trading Proprietary Limited. The two descriptions are not necessarily inconsistent, but no document reached by this desk names a natural person on the buying side, and no document links Metastar Trading to any named individual.

This was a disposal of shares in a company, not an assignment of copyright. No master recording, publishing agreement or artist contract was transferred by the transaction: whatever rights and contracts sat inside Content Connect Africa stayed inside it, and only the shareholder above it changed.

Blue Label acquired Content Connect Africa in January 2008 and held it in its Mobile segment alongside Cellfind and Blue Label One. By 31 May 2012 the company financial statements carried the investment at a cost of R27,000,000 against an impairment provision of R25,000,000. Goodwill on the acquisition, carried at R18,738,000 in 2009 and 2010, had been written down to R9,429,000 in FY2011 and to R4,745,000 in FY2012. The disposal produced a further group loss of R2,027,000.

Nine years later, in September 2021, Gallo Music Investments acquired a 45% equity stake in the same company. That price was not disclosed.
