Deal sheet

Status
Announced on the acquired company's own site, undated on the page, sitemap lastmod 4 July 2026. Consideration not disclosed. Corporate ownership is corroborated by ACE's own homepage structured data, which names 'The Maestro Online Platform and Piano Improvisation Exam Board' as its parentOrganization, and by the joint master catalogue, whose African Composers Edition section is headed 'PART OF THE MAESTRO ONLINE FAMILY'. The acquirer's own announcement could not be retrieved: the-maestro-online.com returns HTTP 403 behind a Cloudflare challenge to every attempt, including a full browser header set and a reader proxy, and the Internet Archive holds no capture of the relevant page. No Companies House filing for the acquirer records the acquisition, and none would be expected to for an asset purchase of this kind; the last confirmation statement, 23 March 2026, predates the announcement and was filed with no updates.

Rights covered
A sheet music publishing business and the editorial copyright in its published scores. ACE's own About page states that ACE 'does not manage copyright, which resides in works and remains with composers' and that ACE 'retains copyright only over its published scores.' The copyright in the underlying musical works, and in the indigenous-language lyrics, remains with the composers and their estates and did NOT change hands. No master recording rights, no performing-rights or mechanical administration, and no songwriter publishing administration are covered by this transaction on any document read. Catalogue acquired, per the joint master catalogue of 14 July 2026: 410 published score items by five composers across four countries, being Ephraim Amu (Ghana, 33), Michael Mosoeu Moerane (South Africa, 59), Joshua Pulumo Mohapeloa (Lesotho, 190), Surendran Reddy (South Africa, 127) and Justinian Tamusuza (Uganda, 1), together with the critical apparatus, English translations, ISMN registrations and the ZAR storefront.
Territory
Acquirer registered in the United Kingdom; acquired business operates from South Africa and sells worldwide in South African rand from its own platform. ACE's announcement states the ZAR storefront continues. No document read grants or limits rights by territory, because the transaction is a purchase of a business rather than a rights licence.

Read this before citing: THE ACQUIRER IS A MICRO-ENTITY WITH ONE EMPLOYEE AND A NEGATIVE BALANCE SHEET. THE MAESTRO ONLINE LTD (UK company 14755417) filed micro-entity accounts to 31 March 2025 on 28 December 2025, audit exempt under section 477 of the Companies Act 2006, approved by the board on 28 December 2025 and signed by Dr Robin Harrison. They show current assets of GBP 544, creditors falling due within one year of GBP (2,567), net current liabilities of GBP (2,023), total net liabilities of GBP (2,023), capital and reserves of GBP (2,023) and an average of one employee during the period. The prior year to 31 March 2024 showed current assets of GBP 2,298, creditors of GBP (1,967), net assets of GBP 331 and one employee. Micro-entity accounts do not disclose turnover, so no revenue figure exists on the register. Accounts to 31 March 2026 are due by 31 December 2026 and had not been filed when the register was read, so no filed balance sheet covers the period in which this acquisition was announced. Statement of capital on incorporation was GBP 1, and no allotment, charge or capital filing has been registered since.

THE OFQUAL ACCREDITATION CLAIM DOES NOT RESOLVE AGAINST THE REGISTER. ACE's homepage structured data describes The Maestro Online as an 'Ofqual-accredited online examination board'. The joint master catalogue describes 'the world's only Ofqual-accredited historically informed piano, organ and harpsichord improvisation exam board' and both exam suites as 'Ofqual, EQF & RQF accredited'. Ofqual's own published register extracts, downloaded 27 October 2026, contain no organisation matching 'Maestro' among 351 recognised awarding organisations, and no qualification matching 'Maestro', 'Creativity Grades' or 'Pop Piano' among 53,056 regulated qualifications. The Associated Board of the Royal Schools of Music, Trinity College London, RSL Awards Ltd and the Music Teachers' Board all appear in the same extract. The only register entry matching the acquirer's postcode area is an unrelated insulation training trust. This record states only that the claim does not resolve against the register; it does not assert the claim is false, and the acquirer could not be reached to explain it.

THE ANNOUNCED DATE IS DERIVED FROM A SITEMAP, NOT STATED BY A PARTY. ACE's announcement page carries no date. Its sitemap lastmod is 2026-07-04T08:45:56+02:00; the homepage lastmod is 2026-07-13T18:31:32+02:00; the joint master catalogue PDF carries an internal creation timestamp of 14 July 2026 and sits in ACE's 2026/07 upload directory. Internet Archive captures of ACE's homepage on 3 March, 19 April, 8 May and 16 June 2026 contain no reference to The Maestro Online. The 16 October capture is partial and is not relied on.

THE SELLER AND THE PRE-ACQUISITION OWNERSHIP ARE NOT ESTABLISHED. No South African company registration number for ACE appears on its own site, and no public CIPC lookup was available to this desk. Whether Prof. Christine Lucia, who founded ACE in 2012 while Extraordinary Professor at the University of Stellenbosch and is still named as its editor, was a seller could not be established. ACE's Terms and Conditions, last updated 3 April 2022 and unchanged since, still define the contracting company as 'African Composers Edition, 12 10th Avenue, Melville, Johannesburg' and the governing country as South Africa.

THE 50 PER CENT COMPOSER SPLIT IS A PRE-ACQUISITION STATEMENT. ACE's About page states that copyright holders 'receive 50% of income from sales'. That page's sitemap lastmod is 17 March 2022, more than four years before the acquisition, and it has not been revised since. Neither party has stated whether the split survives the change of ownership.

THE RIGHTS REGISTRY DOES NOT REFLECT THE CHANGE. MusicBrainz lists 'African composers edition' as a label of type Publisher, country ZA (MBID 2cb9e55e-4a22-4a1c-a576-d7cbc1c1ce68), official site african-composers-edition.co.za, with two attached releases, both Surendran Reddy albums issued in Germany in 2000 and 2001. No IPI, no ISNI, no label code. No MusicBrainz label exists for The Maestro Online and no parent or ownership relationship is recorded.

AN INTERNAL INCONSISTENCY IN ACE'S OWN MATERIAL IS UNRESOLVED. ACE's imprint page describes Surendran Reddy as a 'Zimbabwean-born composer'; the 2026 master catalogue lists him under South Africa, which is what makes the catalogue's 'four countries' claim add up as Ghana, Lesotho, South Africa and Uganda. Both documents are ACE's own. This record adopts neither.

The Maestro Online Ltd, a UK private limited company with one employee and negative net assets on its last filed balance sheet, has acquired African Composers Edition, the South African publisher that holds the only complete scholarly editions of Joshua Pulumo Mohapeloa, Michael Mosoeu Moerane and Surendran Reddy. The consideration was not disclosed. The composers’ copyrights did not move, because ACE never held them.

What changed hands

A publishing business and the editorial copyright in its published scores. ACE’s own About page states the position in terms that leave no room for interpretation: ACE “does not manage copyright, which resides in works and remains with composers”, and ACE “retains copyright only over its published scores.” The underlying musical works remain with the composers and their estates. What The Maestro Online bought is the imprint: 410 published score items, the critical apparatus around them, the translations, the ISMN registrations, the ZAR storefront and the brand.

ACE’s announcement, published on its own domain, confirms the transaction in its own words: African Composers Edition “has joined The Maestro Online (TMO) family”, and “the acquisition by The Maestro Online does not change this core identity. ACE will continue to operate as a specialist publisher, selling digital scores in South African Rand (ZAR) directly from our platform.”

The buyer, from the register

THE MAESTRO ONLINE LTD, UK company number 14755417, incorporated 24 March 2023, registered office 35 Knaith Close, Yarm, England, TS15 9TL. Status Active. Nature of business SIC 85590, “Other education not elsewhere classified”, which is an education code, not a publishing or sound recording code. Dr Robin Harrison is the sole director, appointed at incorporation, with no resignations ever recorded, and the sole active person with significant control, notified 24 March 2023, holding 75 per cent or more of the shares and 75 per cent or more of the voting rights with the right to appoint or remove directors. Statement of capital on incorporation: GBP 1.

The joint master catalogue hosted on ACE’s own domain describes “Dr Robin Harrison FRSA” as “founder The Maestro Online”. This record identifies the Companies House director with that person on the basis of the matching name and the self-description in the company’s own catalogue.

Consideration

Not disclosed. No figure appears in ACE’s announcement, in the joint catalogue, or in any Companies House filing for the acquirer. No charge, capital filing or allotment of shares has been registered against company 14755417 at any point since incorporation, and the company’s confirmation statement of 23 March 2026 was filed “with no updates”.

Scale of the acquirer

Micro-entity accounts to 31 March 2025, filed 28 December 2025, audit exempt under section 477 of the Companies Act 2006, approved by the board on 28 December 2025 and signed by Dr Robin Harrison:

  • Current assets: GBP 544
  • Creditors falling due within one year: GBP (2,567)
  • Net current liabilities: GBP (2,023)
  • Total net liabilities: GBP (2,023)
  • Capital and reserves: GBP (2,023)
  • Average number of employees during the period: 1

Prior year to 31 March 2024: current assets GBP 2,298, creditors GBP (1,967), net assets GBP 331, one employee. Micro-entity accounts do not disclose turnover, so no revenue figure exists on the register. Accounts to 31 March 2026 are due by 31 December 2026 and had not been filed when the register was read, so no filed balance sheet covers the period in which this acquisition was announced.

The catalogue

The joint master catalogue, a 113-page PDF hosted on ACE’s domain and carrying an internal creation timestamp of 14 July 2026, states that African Composers Edition comprises “410 scores, 5 composers, 4 countries” and breaks down as follows:

  • Ephraim Amu (1899 to 1995), Ghana: 33 published works
  • Michael Mosoeu Moerane (1904 to 1980), South Africa: 59 published works
  • Joshua Pulumo Mohapeloa (1908 to 1982), Lesotho: 190 published works
  • Surendran Reddy (1962 to 2010), South Africa: 127 published works
  • Justinian Tamusuza (b. 1951), Uganda: 1 published work

Scores are priced in rand, from R39 for an Amu SATB choral score to R400 for the Tamusuza work. Published score items outnumber distinct compositions because ACE issues multiple notational versions of the same work, each with its own ISMN: its imprint page documents two A4 formats for the Mohapeloa choral editions, staff notation only and staff notation with tonic solfa. ACE’s own history page records 185 Mohapeloa scores located by 2012 against the catalogue’s 190 published items.

Rights covered, and not covered

Covered: the publishing business, the published editions and ACE’s editorial copyright in those editions. Not covered, because ACE does not hold them: the copyright in the underlying musical works, and the copyright in the indigenous-language lyrics, which ACE’s About page attributes to the composers and their copyright holders. ACE is a publisher of editions. It is not a publisher in the music-publishing sense of administering songwriters’ copyrights, and it is not a collecting society. No performing-rights or mechanical administration relationship is created or transferred by this transaction on any document read.

Caveats

THE ACQUIRER’S OWN ANNOUNCEMENT COULD NOT BE READ. the-maestro-online.com returns HTTP 403 behind a Cloudflare challenge to every retrieval attempt made, including a complete browser header set and a reader proxy, and the Internet Archive holds no capture of the relevant page. Every statement about the transaction in this record therefore comes from the acquired company’s own site, from the joint catalogue hosted on that site, or from the UK register. Neither party was reachable for comment through the acquirer’s domain.

THE DATE IS DERIVED, NOT STATED. ACE’s announcement page carries no publication date. ACE’s own page sitemap gives it a lastmod of 4 July 2026 at 08:45:56 +02:00, and the homepage a lastmod of 13 July 2026. The joint master catalogue carries an internal creation timestamp of 14 July 2026 and sits in ACE’s July 2026 upload directory. Internet Archive captures of ACE’s homepage on 3 March, 19 April, 8 May and 16 June 2026 contain no reference to The Maestro Online. The announced date of 4 July 2026 recorded here is the sitemap lastmod, not a date stated by any party.

THE OFQUAL ACCREDITATION CLAIM DOES NOT RESOLVE. ACE’s homepage structured data describes The Maestro Online as an “Ofqual-accredited online examination board”. The joint master catalogue goes further, describing “the world’s only Ofqual-accredited historically informed piano, organ and harpsichord improvisation exam board” and both exam suites as “Ofqual, EQF & RQF accredited”. Ofqual’s own published register extracts, downloaded on 27 October 2026, contain no organisation matching “Maestro” among 351 recognised awarding organisations, and no qualification matching “Maestro”, “Creativity Grades” or “Pop Piano” among 53,056 regulated qualifications. The Associated Board of the Royal Schools of Music, Trinity College London, RSL Awards Ltd and the Music Teachers’ Board all appear in the same extract. This record states only that the claim does not resolve against the register. It does not assert that the claim is false, and the acquirer could not be reached to explain it.

THE RIGHTS REGISTRY DOES NOT REFLECT THE CHANGE. MusicBrainz lists “African composers edition” as a label of type Publisher, country ZA, with ACE’s domain as its official site and two attached releases, both Surendran Reddy albums issued in Germany in 2000 and 2001. It carries no IPI, no ISNI and no label code. There is no MusicBrainz label for The Maestro Online and no parent or ownership relationship is recorded.

THE SELLER IS NOT ESTABLISHED. ACE’s pre-acquisition shareholders are not public. No South African company registration number for ACE was found on its own site, and no public CIPC lookup was available to this desk. Whether Prof. Christine Lucia, who founded ACE in 2012 and is still named as its editor, was a seller could not be established. ACE’s Terms and Conditions, last updated 3 April 2022 and unchanged since the acquisition, still define the contracting company as “African Composers Edition, 12 10th Avenue, Melville, Johannesburg” and the governing country as South Africa.

THE 50 PER CENT TERM IS PRE-ACQUISITION. ACE’s About page states that copyright holders “receive 50% of income from sales”. That page’s sitemap lastmod is 17 March 2022, more than four years before the acquisition, and it has not been revised. Whether the 50 per cent split survives the change of ownership has not been stated by either party.

AN INTERNAL INCONSISTENCY IS UNRESOLVED. ACE’s imprint page describes Surendran Reddy as a “Zimbabwean-born composer”. The 2026 master catalogue lists him under South Africa. Both documents are ACE’s own. This record adopts neither.
