LiveOne acquires majority interest in Splitmind LLC and Drumify LLC

LiveOne, Inc. (Nasdaq: LVO) acquired a majority interest in Splitmind LLC and Drumify LLC on 28 February 2023. No percentage and no consideration has been disclosed in any filing. LiveOne markets Splitmind to investors as a 40,000-copyright producer catalogue whose collaborations include Wizkid, a claim that appears only in documents used to sell securities and never in an audited annual or quarterly report.

Parties
LiveOne, Inc., Splitmind LLC, Drumify LLC
Amount
Not disclosed Not disclosed
Rights covered
Equity in two operating companies, not a transfer of named songs or recordings. LiveOne discloses a majority interest in Splitmind LLC and Drumify LLC and nothing more: the percentage is not given, and no filing read by this desk identifies a single copyright, master recording, song title, songwriter or catalogue that moved. LiveOne separately tells investors that Splitmind holds a catalogue of 40,000 copyrights and 2 billion streams, and that recent Splitmind collaborations include Wizkid. The filings do not state whether Splitmind owns, co-owns, administers, publishes, distributes or merely licenses anything connected to Wizkid. None of those four words appears in connection with his name in any document read.
Territory
Not stated. No filing read specifies a territory for the equity purchase or for the claimed 40,000-copyright catalogue. The FY2026 Form 10-K contains no occurrence of the words Africa or Nigeria, and neither does the 30 July 2026 prospectus supplement that names Wizkid.

Read this before citing: This record documents an equity purchase, not a catalogue sale, and its central finding is how little has been disclosed. Specifically: (1) LiveOne says majority interest and never states a percentage, so this desk cannot say LiveOne owns Splitmind or Drumify outright, and the record does not say so. (2) No consideration, cash, stock, earn-out or otherwise, appears in any filing read, so the amount is Not disclosed rather than unknown-but-estimable. (3) The sellers are not named, and no 8-K announced the transaction. (4) The 40,000-copyright and 2-billion-stream figures appear only in registration statements and prospectus supplements, which are documents used to sell securities; they appear in no Form 10-K or 10-Q, and are not attributed to any audit or third-party verification. (5) Wizkid is named in seven LiveOne offering documents and in none of its periodic reports. The word used is collaborations, which is not a rights term, and the filings nowhere state that Splitmind owns, administers, publishes, distributes or licenses any Wizkid work. Nothing in this record should be read as a claim that LiveOne or Splitmind holds any interest in Wizkid copyrights. (6) The FY2026 Exhibit 21.1 omits both LLCs while the body of the same 10-K, the following 10-Q and the following prospectus supplement all continue to call them subsidiaries. Item 601(b)(21) of Regulation S-K permits a registrant to omit subsidiaries that are not significant subsidiaries, so the likeliest reading is a materiality judgement rather than a disposal, and the FY2026 10-K contains no deconsolidation, divestiture, disposal or dissolution language. The filing does not say which, and this desk did not establish it. (7) Checks attempted and failed, recorded as failures: the California Secretary of State business search API returned HTTP 429 on two attempts, so neither LLC registration status was confirmed; ASCAP ACE returned HTTP 403; BMI repertoire returned a bot-challenge page; splitmind.com resolves to a parked domain-for-sale page and splitmind.io is an unrelated creative agency; MusicBrainz label search returns count 0 for Splitmind, Drumify, DayOne Music Publishing and LiveOne; Deezer returned 74 Wizkid albums with empty label fields. (8) The Apple catalogue check covers phonogram credits, which are master-recording credits. Splitmind is described as a producer-copyright business, so the absence of its name from those 157 lines does not by itself disprove a publishing-side relationship, and no publishing registry this desk could reach would confirm or deny one.
